SRI SANJAY MITTAL, son of Sri Nagarmal Mittal, Business by occupation, Hindu by faith,
Indian by nationality, residing at Shiv Mandir Road, Punjabi Para, Siliguri, Dist: Darjeeling, in
the state of West Bengal, hereinafter called "the Licensor" (which expression shall unless
excluded by or repugnant to the context be deemed to include his heirs, executors, successors,
representatives, administrators and assigns) of the ONE PART.

M/S MADAN MOHAN INDUSTRIES, (Partnership Firm) represented by its partners Mr.
Prashant Somani & Mr. Kunal Goyal, having its registered office at Shop No.: 11, Basement,
Golden Plaza Burdwan Road, Siliguri, Dist: Darjeeling, in the state of West Bengal, hereinafter
called “the License” (which expression shall unless excluded by or repugnant to the context be
deemed to include his heirs, executors, successors, representatives, administrators and assigns)
OTHER PART.
WHEREAS
A. The Licensor is the absolute owner and sufficiently possessed of and entitled to the
Office Space measuring 679 Square Feet (Built up Area) situated at Third Floor,
Crescent Court, Burdwan Road, Siliguri -734001, in the state of West Bengal, more
fully and particularly described in Schedule "B" given hereunder (hereinafter called
the "Premises") and
B. On the request of the Licensee, the Licensor has agreed to grant leave and license in
respect of the said premises on the following terms and conditions mutually agreed to
between the parties.
1) That is consideration of the License Fee hereinafter specified and of the covenants and
conditions hereinafter contained on the part of the Licensee to be paid, observed and
performed, the Licensor hereby agrees to grant leave and license to the Licensee the
premises in accordance with the terms of this Agreement.
2) That this Leave and License agreement shall remain in operation for only 36 (Thirty
Six) months from 1st day of August 2019 to 31" Day of July 2022.

3) That the Licensee does hereby agree to take the aforesaid Office Space at a monthly
License Fee of Rs. 20,000/- (Rupees Twenty Thousand Only) per month to be paid
on or before the 7th (Seventh) day of following month for which the License Fee is
payable as per the English Calendar month with effect from 1st day of August 2019
continuing for 24 (Twenty Four) months only. The License Fee shall be increased by
10% after the expiry of the said 24 (Twenty Four) months for the balance period of 12
(Twelve) months as per this agreement.
4) That The Licensor and the Licensee have agreed that the Licensee has right to occupy
Office Space for a period of 36 (Thirty Six) months only from the date of taking the
possession by the Licensee from the Licensor by paying the monthly License Fee as
mentioned above. That after the expiry of the said Thirty Six Months the decision of
whether or not the period of Leave and License agreement period shall be further
extended or not shall be solely taken by the Licensor. If the Leave and License
Agreement is further extended, then the new License Fee shall be finalized again and it
shall be decided only by the Licensor at his discretion.
5) This agreement may be terminated by the Licensor and the Licensee by giving a prior
three months notice in writing,
6) The Licensee shall not carry out any changes to the present set up by way of addition
or alterations without obtaining prior permission from the Licensor in writing.
7) The Licensed Premises will be used only for legal and bonafide purpose only and the
Licensee shall not to use the same for any illegal purpose.
8) The Licensee shall not nor shall they allow any person to use or carry on any noisy,
hazardous occupation or business in or upon any part of the said premises which may
cause annoyance or inconvenience to and /or otherwise likely to be prejudicial to the
interest of the Licensor at the licensed premises.
9) That the Licensee shall not sub - lease all or any part of the demised premises to any
other company/corporation or persons.
10) That the Licensor shall not be responsible for any loss or damage caused to the assets,
belongings etc of Licensee in the said premises due to act of God, fire, theft etc. or in
any other manner whatsoever.

11) The Licensee to the intent that the obligations may continue throughout the term hereby covenant with
the Licensor as follows:
I) To yield and deliver vacant possession of the premises to the Licensor on the expiry or
termination of the agreement for leave and license thereof in neat tidy, tenantable and in the
same condition in which the same now exist normal wear expected, subject to any additions
that may have been made by the Licensee. The licensee or its officer remaining in occupation
of the premises after such termination will be deemed to be an act of trespass.
II) To abide by and comply with all rules and regulations of the Municipal Corporation and other
authorities in so far as are to observed by any occupier of the premises, without diluting or
negating the effect of the representations made by the Licensor in this Agreement.
a) To abide and comply with all laws, bye-laws, rules and regulations of the Municipal authorities,
local bodies and other relevant authorities:
b) To pay the municipal and other taxes including levies and charges and all outgoing in respect of
the Premises and not to allow the same to fall in arrears.
c) The Licensee shall have the right to use and enjoy the entrances, staircase. building, corridors,
road and passage in and outside the Premises and the right to ingress to egress from Premises so
far as the same are necessary for the enjoyments of the Premises by the Licensee, its customers,
servants, agents, visitors and invitees.
d) To allow the Licensee to enjoy quoi.te and peaceful possession of the Premises during the entire
period of the agreement for leave and license without any interruption or in trust for the Licensor
of otherwise however.
e) To keep the premises in good order and proper tenantable condition.
13) If the whole or any part of the Premises shall at any time during the term of the agreement for leave
and license be destroyed or damaged, due to any fire, storm. tempest, flood act of God, act of terrorism,
war or any other irresistible force or the Licensee is deprived of the use of the premises for reasons not
attributable to the Licensee then the Licensor undertakes to restore the Premises as expeditiously as
possible or, as the case may be, to remove the impediment to accessibility as expeditiously as possible.
Notwithstanding the forgoing upon the happening of any such event as aforesaid, the Licensee shall not be
liable to pay rent during the period License is deprived of the use of the Premises or any part thereof.
