Boutique Direct Hire Agreement

EXCLUSIVE TERMS & CONDITIONS
These Terms and Conditions (“Agreement’) are entered into by and between San Diego
Pro Staffing, Inc. (“Pro Staffing”) d.b.a. Boutique Recruiting and Solvo (“Client”).
The effective date of this Agreement is 10/04/2023.
Fee: 25% of 1st Year annual base compensation.
Terms & Conditions: Terms due on the Candidate’s Start Date; 30 Day Exclusivity for San Diego Pro
Staffing Inc. (“Pro Staffing”) d.b.a. Boutique Recruiting
Guarantee: Days 1-90 of employment (replacement). This guarantee is contingent.

Background Checks: Your sole responsibility . Reference checks will be provided by Boutique Recruiting upon
request. Criminal Background Checks are able to be added onto Boutique Recruiting's
services for an extra $100 per test, upon offer; any additional pre-employment tests will run
as an extra $100 per test required, upon offer only.
Hiring Decision: Your sole responsibility
If any candidate we refer to you is hired within 1 year of our referral, the fee schedule above will apply. This includes engaging that candidate in a
temporary or contract position by you, or a division or affiliate. To expedite the search process, we request a quick turnaround of resumes and prompt
interview scheduling on candidates of interest.
Neither party will be liable to you or to a third party for any indirect, special, punitive, exemplary, or consequential damages, costs, expenses, or
losses, including but not limited to damages based on lost revenues, lost profits, or lost business opportunities. Neither party will be in the
aggregate liable for any reason for a total amount in excess of the fees paid or received for a hired candidate. Other than claims by us for payment
of our fees, any claims arising from this Agreement must be brought within 1 year of the occurrence of the event giving rise to such claim.
This is the entire agreement between the parties, and supersedes any prior agreements, whether oral or written, between the parties about the subject
matter hereof. Any amendments or other changes to this Agreement must be in writing and signed by both parties.
The guarantee is contingent upon receiving payment on time. The guarantee doesn’t include organizational changes occurring outside the
candidate’s expertise. The guarantee is contingent upon a like for like replacement. The guarantee is contingent upon receiving feedback on how
the candidate is doing during the first 30 days. Before a replacement candidate can be requested, a PIP (Performance Improvement Plan) must
occur between the placed candidate and their according hiring manager/HR. Documentation of a signed PIP is to be provided to Boutique
Recruiting in order to honor a replacement, should one occur after the PIP is evaluated. Upon a replacement need, up to three qualified
candidates will be sent that are all required to be interviewed and pre-scheduled. Feedback/communication on all replacement
candidates must be made within 48 hours; otherwise, we reserve the right to terminate the position and credit will be lost permanently. Should a
replacement candidate's salary be above the originally placed candidate, an additional fee will only be charged if the difference in the placement fee exceeds
$2,500+ of the original fee. If the difference in the placement fee is $2,499 or less, no additional charges will apply.
The client agrees to a 30 day exclusivity clause with Boutique Recruiting and will not use outside vendors for the given positions within the first 30 days of
receiving the job openings.
