**CONTRACT AGREEMENT**

**This Agreement is made and entered into as of [Date], between Northrop Grumman, a corporation

(hereinafter referred to as "Engineer").**

**ARTICLE 1: Employment**

b. **Term**: The term of employment shall be for three (3) years, commencing on [Start Date] and
ending on [End Date], unless terminated earlier in accordance with the provisions of this Agreement.

professional and diligent manner.

d. **Compliance**: The Engineer agrees to comply with all Company policies, procedures, and
applicable laws and regulations during the term of employment.

agreed upon by both parties.

f. **Probation Period**: The first [number of months] months of employment shall be considered a
probationary period during which either party may terminate the agreement without cause.

**ARTICLE 2: Compensation and Benefits**

proprietary and confidential information of the Company.
b. **Non-Disclosure**: The Engineer agrees not to disclose, use, or allow access to any confidential
information except as required in the performance of their duties.

c. **Intellectual Property Rights**: Any inventions, designs, or works created by the Engineer during the
course of employment shall be the sole property of the Company.

d. **Non-Competition**: The Engineer agrees not to engage in any competitive activities during the
term of employment and for a period of [number of months/years] after termination.

e. **Non-Solicitation**: The Engineer agrees not to solicit any Company employees or clients for a
period of [number of months/years] after termination.

f. **Survival**: The obligations in this Article 4 shall survive the termination of the Engineer's
