SERVICE AGREEMENT FOR ERECTION & COMMISSIONING

This Service Agreement for Erection & Commissioning (hereinafter referred to as the
“Agreement”), is made at Barnala on this 16th day of February, 2023 by and between

Trident Limited, a company incorporated under the Companies Act 1956 and having its
registered office at Trident Group, Sanghera – 148 101, India (hereinafter referred to as the
“Purchaser”, which expression shall, unless it be repugnant to the context or meaning thereof,
include its successor and assigns) of the First Part;

AND

SALONI PAPER MACHINES PRIVATE LIMITED, having its registered office at Plot No. 3715/A-
1+3715/A-3, 1st Floor 4th Phase, Ind. Plot, GIDC VAPI, Valsad - Gujarat 396195 India
(hereinafter referred to as the “Service Provider”, which expression shall, unless it be
repugnant to the context or meaning thereof shall, unless it be repugnant to the context or
meaning thereof, include its successor and assigns) of the Second Part.

1 Scope
1.1 The Service Provider hereby undertakes to erect and commissioning of PM-2 Shoe
Press (here-in-after referred as “equipment”, in accordance with the Bill &

Quantities specified in Annexure II upon the terms and subject to the conditions
contained herein.
1.2 The Service Provider’s obligations comprise of the following:
a) Erection & commissioning of the equipment, as specified in Annexure I in
such manner as specified in Annexure II.
b) The supervision of installation, commissioning and performance testing as per
scope of work excluding civil works as provided in this Agreement.
1.3 The Service Provider guarantees that the equipment shall be installed and
commissioned in accordance with scope of work as specified in Annexure I.
1.4 The Parties shall take all steps in order to obtain the required licenses, permits and
approvals for the performance of this Agreement.
1.5 The Time Schedule, which is attached hereto as Annexure III, specifies the dates
for the performance by the Parties of the obligations under this Agreement.
2 Prices & payment terms

2.1 The erection & commissioning charges are set forth in Annexure II. The prices
under this agreement shall remain firm until completion of agreement and shall
be paid in accordance with the terms of payment specified in Annexure IV.

2.2 All rates/ prices quoted are inclusive of all taxes except GST, labour cess or any
other new tax levied during the period of the Agreement and are site delivered,
erected, commissioned and completed in all respect for final use.

2.3 All payments shall be made after deduction of Income tax at source at the rates
applicable from time to time.

2.4 All bills shall be submitted after achievement of milestones and verification by
the Purchaser.

2.5 Final measurement to be completed within 30 days from the date of submission
of final bill.

2.6 The Service Provider shall be solely and exclusively liable for payment of all
taxes, duties, levies and for all necessary Tax Compliances including but not
limited to GST and any other New Tax, on or in connection with the services by
the Service Provider to the Purchaser under and in accordance with this
Agreement. The Purchaser shall not be liable or responsible therefore, in event,
of any claim, penalty or liability levied on or incurred by the Service Provider due
to above Non-Compliance and Non-Payment of applicable Taxes and duties. The
Service Provider shall indemnify and keep indemnifying the Purchaser from and
against all such claims including any tax input credits denials to the Purchaser by
Tax department due to any Non-Compliance by the Service Provider.

2.7 GST amount will be held back and will paid after the same is reflected in our
GSTR-2A/3B or Annex-2, as the case may be.

2.8 The responsibility of taking Insurance of the equipment during erection period
shall be of the Purchaser.

2.10 The Service Provider will take appropriate insurance coverages for its assets like
machines / equipment/other things & vehicles to be used in construction
site/work and Workers compensation policy and Group Personal Assurance Policy
for its manpower working at the construction site and maintain the same for the
project period.

3 Erection & Commissioning


3.1 Once the equipment reaches the site, the Purchaser shall duly notify the Service
Provider regarding the same.
3.2 The Installation of the equipment shall take place in accordance with the Time
Schedule. Any changes to the same due to any reason will be agreed in writing
by both the parties and shall be part of the agreement.
3.3 The Service Provider undertakes to provide, with its specialised personnel for
the supervision of the installation and performance testing of the equipments in
accordance with the Time Schedule. The Purchaser shall provide the required
resources and personnel to enable and assist the Service Provider in the
provision of the said services.
3.4 The Purchaser shall provide utilities such as power and water at the site free of
cost, for purposes of installation and Performance Testing.
3.5 The Service Provider further undertakes to re-erect the equipment free of cost
during the warranty period and indemnify the Purchaser in respect of any direct
loss suffered by Purchaser due to defective erection of equipment attributable
to Service Provider.
4 Intellectual Property
4.1 The Service Provider undertakes that the equipment erected does not infringe
any third party intellectual property rights.
4.2 The Service Provider undertakes to indemnify the Purchaser against claims for
infringements of third party patents or other intellectual property rights by
equipment erected under this Agreement.

5 Non performance & its consequences


5.1 In case there is a delay in commissioning for the reasons attributable to Service
Provider, liquidated damages @ 0.5 % of the agreement price for each week's
delay or part thereof, subject to a maximum of 5% of the agreement price, shall
be imposed on Service Provider. For purpose of computing liquidated damages,
the commissioning of the equipment not in accordance with the specifications
shall not amount to commissioning within time.
5.2 If the Service Provider fails to fulfill the obligations, the Service Provider shall
indemnify the Purchaser for direct losses/ damages suffered by the purchaser.

The purchaser shall be at liberty to re-erect the equipment from any other
supplier/service provider at risk and cost of Service Provider.
5.3 Each Party is entitled to suspend performance of its obligations under this
agreement in the event the other Party fails to perform in a timely manner any
material obligation under this agreement until the default is remedied, without
prejudice to other remedies that may be available. Either Party shall notify the
other Party in writing of its intent to suspend and grant a final time period to the
other Party to remedy the default, failing which the right of suspension may be
exercised without further delay.
6 Performance Test Procedures
6.1 As soon as the Installation is complete, the Service Provider shall commence
testing.
6.2 The Performance Testing shall be carried out by the Service Provider’s personnel
under the supervision of purchaser’s personnel by following the Performance
Test Procedure of the Service Provider. For the period of Performance Testing,
the Purchaser shall make available personnel, resources and raw materials to
undertake the activity.

7 Tenure

This Agreement shall be valid from March 10, 2023 to July 31, 2023 unless it is
terminated as per termination clause and shall be renewable with mutual consent of
the parties.

8 Termination
8.1 In the event that a Party (the "defaulting Party"):
8.1.1 commits a material breach of this agreement, and has not remedied (or
started remedial actions in the event the breach is not possible to
remedy the same) within thirty (30) days after receipt of a notice from
the other Party specifying the nature of the breach and requesting that
it be remedied; or
8.1.2 fails to pay any amount within 3 months of the date it falls due; or
8.1.3 is insolvent or a receiver or liquidator (including provisional liquidator) is
appointed over all or part of its undertaking, or enters into any scheme
of arrangement or compromise for the benefit of its creditors or
negotiations therefore, or declares a moratorium on the payment of its
debts or becomes unable to meet its financial obligations; or
8.1.4 is the subject of proceedings seeking its liquidation or dissolution and
the case is not stayed or dismissed within four (4) weeks; or
8.1.5 suffers the seizure of the management, majority of its shares or a major
part of the assets by Government action,
the other Party may, without prejudice to the exercise of any other rights or
remedies which may be available to it, terminate this agreement by giving the
defaulting Party written notice to that effect.

8.2 In case of termination for default of the other Party as mentioned above, the
terminating party will subject to limitations of liability set forth in this
agreement, be entitled to compensation for the loss it has suffered as a direct
consequence of the default justifying termination.
8.3 Notwithstanding anything contained in this agreement, in the event Service
Provider’ fails to perform in a timely manner or fails to fulfill any obligation
under this agreement, the purchaser reserves the right to terminate the
agreement, without serving any notice.
9 Defect Liability Period

The erection & commissioning shall remain defect free for a period of 365 days from
the date of certificate of completion of work. The Service Provider shall be responsible
for maintenance of the scope of work which are constructed by it or which are under
its scope in terms of the Agreement. All expenses incurred in repair/dismantling
/reconstruction of any area constructed by Service Provider due to reasons solely
attributable to the Service Provider shall be borne by Service Provider during the
maintenance period.

10 Force Majeure

10.1 If any time during the continuance of this agreement, the performance in whole
or in part by either Party or any obligation under this agreement is prevented or
delayed by reason of governmental decision, war, hostilities, act of the public
enemy, civil commotion, sabotage, fire, flood, explosion, epidemics, quarantine
restrictions, disturbance in supplies from normally reliable sources (including but
not limited to electricity, water, fuel and the like), inability to obtain residency
permits or work permits or other permits, or any other event beyond the
reasonable control of the Party concerned (hereinafter referred to as "the
eventuality"), then notice of such eventuality shall be given by the affected
Party to the other within fifteen (15) days from the date of occurrence thereof.

10.2 The Parties specifically agree that Force Majeure shall not be applicable in case
of future strike and/or lockout in the factory, premises, office and the like of
any of the parties. The delivery of equipment/installation/erection &
commissioning shall be strictly in accordance with the time schedule agreed in
this agreement and shall not be affected by any strike or lockout.

10.3 Neither Party shall, by reason of such eventuality, be entitled to terminate this
agreement nor shall either Party have any claim for damages against the other in
respect of such non-performance or delay in performance; and deliveries under
and/or performance of this agreement shall be resumed as soon as practicable
after such eventuality has come to an end or ceased to exist ; provided that if
the performance in whole or part of any obligation under this agreement is
delayed by reason of any such eventuality for a period exceeding three (3)
months, the parties shall meet and review in good faith the desirability and
conditions of terminating this agreement. Payment shall remain due for the
performed part and the Parties shall promptly settle their accounts accordingly.

11 Applicable laws
11.1 In the event of any dispute arising out of the performance or the interpretation
of this agreement, the Parties hereby agree to make every effort to reach an
amicable settlement.
11.2 Any dispute, controversy or claims arising out of or relating to this agreement, or
the breach, termination or invalidity thereof shall be settled by Sole arbitrator
to be appointed by Purchaser. The place of arbitration shall be Barnala, Punjab
in India. The language used in arbitral proceedings shall be English. Any
testimony, documents produced and outcome of the arbitration shall be
confidential.
11.3 This Agreement shall be construed in accordance with and governed by the laws
of India and the parties agree to submit themselves to the exclusive jurisdiction
of the Courts at Barnala, India only.
12 Miscellaneous
12.1 The failure by either Party to the agreement to exercise or enforce any rights
conferred by the agreement shall not be deemed to be a waiver of any such right
nor operate so as to bar the exercise or enforcement thereof at any time or
times thereafter.
12.2 Neither party is entitled to assign the rights, interests and obligations under this
agreement without the previous written consent of the other Party.
12.3 The Service Provider may sub agreement any part of its obligation, by providing
the details of the sub-Service Provider or sub-supplier and seeking approval of
the Purchaser. Any such sub-contracting does not absolve the Service Provider of
its obligations under this agreement and the Service Provider shall continue to
be primarily and solely responsible for performance of obligations under this
Agreement. It is expressly understood that no relationship whatsoever exists or
shall come into existence between the Purchaser and the sub-Service Providers
and or sub-suppliers.
12.4 All notices, requests or communications between the Parties under this
agreement shall be in the English language by letter signed by an authorised
representative of the sending Party. All notices shall be considered as validly
served if mailed in the form of pre-paid registered letter and/or courier, return
receipt requested. Unless otherwise specified, the periods specified in Notices
shall be counted from the date of receipt of the notices as evidenced by the
dates mentioned on the return receipt forms.
12.5 This agreement and its annexes constitute the entire agreement between the
Parties with respect to the subject matter hereof. It sets forth all intended
rights and obligations and supersedes any and all previous agreements and
understandings between them with respect to the subject matter hereof.
12.6 If any of the terms and conditions of this agreement shall be or become
unenforceable for any cause or reason whatsoever, the ensuing lack of
enforceability shall not affect the other provisions hereof, and in such event the

parties hereto shall endeavour to substitute forthwith such other enforceable
provision as will most closely correspond to the legal and economic contents of
the said terms and conditions.
12.7 The Parties agree that the General Terms and Conditions as applicable to
agreements with Service Provider (“SP GTC”) and available on the Company’s
website at
https://assets.tridentindia.com/GTC_Service_providers_1cb301b792.pdf shall
apply to this Agreement. The Service Provider acknowledges that it has read and
understood the SP GTC and agrees that in the event of any conflict between the
provisions of the Agreement (including any purchase order issued thereunder,
side letter, supplemental agreement, amendment agreement, any other
arrangement or understanding between the Parties in relation the Agreement)
and the SP GTC, the provisions of the SP GTC shall prevail.

Wire Table alignment before modification and after modification to be done equipment
for alignment will be in Errection Scope
 Erection, commissioning, testing, start up and handover of Top Former Tension Gauge
and Controller with associated cabling / termination.
 All fabrication drawings will be provided by the Purchaser.
 Replacement work of Induction Profiler Extrusion plates which includes removal of
beam from site & re installation.

There can be variation of 5 to 10 % increase in the scope of Erection / dismantling of the


pipeline / Fitting / Tubing jobs to be add.

16. Tools and Tackles :--


All Tools tackles / Hydraulic jack etc. & Consumables, safety PPE should be in Contractor
scope required to accomplish the job of Shoe press installations and other related jobs as
mentioned in the scope

17. Manpower distribution: -

The manpower distribution in the plant be such that the all the three shifts are covered with
skilled technicians (Instrumentation, Electricians, Fitters, welder) so that all assigned jobs are
done as per the bar chart and day to day planning to the satisfaction of the Trident team.
Further enough manpower will be deputed by the contractor so that there is no pendency, and
all jobs are completed as per stipulated timelines.

Total Manpower deployed by contractor shall be 225 numbers during shut and 30 to 50
manpower will be deployed during pre -shut activities.

The manpower shall be deployed in 3 shifts. The Contractor shall do all the compliances as per
law of the Land.

Terms and conditions of the Manpower deployed should be as per SOP of the Trident.

Inclusions in Contractor Scope shall cover but not be limited to the following:
 All types of Tools & Tackles, Multi-meters, loop testers & other test devices
required for the job.

 All Personal Protection Equipment (PPEs) required for the safe completion of
the Jobs.

 All Equipment for gas cutting / Arc, Tig & Gas Welding and Consumables,
industrial gases, such as oxygen, acetylene, or inert gases.

 All types of consumable welding electrodes, brazing rods, soldering lead,


flux.

 Identification tags to be marked on all Cables & Tubes at start point & end

 All wiring terminations to be done with proper printed ferrules. Ferrule

 Teflon tapes, insulation tapes to be provided by the Contractor.

 The Guidelines for all engineering equipments / Equipment, Instrumentation scope of


work of the Contractor under this specification shall cover but not be limited to the
following:

 Erection, commissioning, testing, start up and handover of instruments and control


System with associated cabling, termination, tubing, cable-tray and supporting as
mentioned above in scope.

 Issuance of instruments, accessories, and erection materials from the Mill premises, in
sequential order, in accordance with the specified schedule of erection.

 Transportation of instruments, instrument accessories, trays, pipes and erection


materials from Purchaser's stores/stockyard to work site shall be provided by
Purchaser.

 Erection and interconnection of control panels, wall mounted cabinets etc. in the
control room/rack room and also locally, as per locations marked in the project layout
drawings or as per instruction from site Engineer.

 Making of additional cut-outs / Gland Holes on control panels/desks supplied by


Equipment Vendors, along with necessary tubing/wiring modifications inside panel, as
per Loop Schematics & Panel Layout Drawings to be furnished by the
Purchaser/Consultants. Making gland holes as per the requirement given in cable
schedule in JBs, panels system cabinets and Power Distribution Boards

 Routing and supporting of impulse piping and sample piping from the tapping points to
the respective instruments, with all fittings, valves etc., including supply of the same.
Fabrication of nipples from pipes and threading of the same, wherever required at
Purchaser’s workshop.

 Fabrication and erection of cable and tube trays including bends and tees, supports and
openings, wherever required.

 Erection of G I / PVC conduit pipes with fittings and supports.

 Laying of SS tubes, multicore signal/ control/ power supply/ triad cables in the trays
with proper clamping/dressing wherever required.

 Termination of each of the multicore cables/tubes covered above, in individual


junction boxes, providing suitable supports including fixing of bulkheads/cable glands
in the respective boxes.

 Termination of multicore signal/ control/power supply cables from junction boxes,
local panel in the field at one end and to terminals of control panel/cabinets in the
rack room at the other end.

 Laying, supporting and terminating at both ends communication cable (RS485 & Fibre
Optic) with proper clamping through conduit pipes.

 Electrical junction boxes including installation of the same. Also interconnection of


individual cables through junction boxes to control panel/ cabinets in control room.
Provision of earthing strips inside electrical J.B.'s and grounding of the same.

 Installation and supporting of local instrument air supply manifolds, interconnection of


air supply lines from the manifold to the respective field instruments and also routing
and supporting of air supply lines from the main air header to the distribution
manifold/ instrument in the absence of air manifold.

 Fabrication and erection of stanchion, brackets, etc., required for installation of field
mounted instruments/junction boxes with all accessories.

 Fabrication and erection of structural steel (plates/angles etc.), required for


supporting ducts, trays, local engineering equipment etc., complete with bolts and
nuts.

 Fabrication and erection of channel base frame for panels/ cabinets complete with
bolts and nuts (to be provided by the Purchaser).

 Cleaning and blowing of air header and distribution lines, pneumatic tubing, impulse
piping and sample piping (for analyser) and testing of the same for any leakage (only
instrument quality air shall be used for testing of pneumatic signal/air supply lines).

 Testing of electrical cables, impulse coaxial cables, fibre optic cables and any other
special cable for proper connections, continuity, and insulation.

 Co-ordination and supervision with piping and other workmen for proper mounting of
instruments Connections of signal tubes/cables to such on-line instruments, wherever
required.

 Testing of entire instrument loops for proper connections and functioning.

 Commissioning of engineering equipment and control loops during plant start-up and
assistance to Purchaser during guarantee run and stabilisation of the Plant/Equipment,
Assistance to be provided for 10 days after paper reel.

 Any item of work, which may not have been specifically mentioned here but becomes
unavoidable and/or otherwise necessary for completion of the system to be
commissioning within 5-10% variation, shall be deemed to be included in the scope of
work of this specification.

 All Equipment and facilities to be developed for executing the job as per the best
engineering practice and keeping to the time schedule.

 The Contractor shall plan and execute the work in such a manner that wastage of
materials is kept to a minimum.

WORKMANSHIP-For all engineering items

 Workmanship shall be in accordance with established engineering practices for entire


work of Electrical, Mechanical and instrumentations. and specified standards for the
type of work shall be adopted by the contractor

 Work shall be done in approved manner, taking care to see that location and alignment
of various instruments, instrument accessories etc. conforms exactly to the
requirements inclusive of any modifications, and changes that might become necessary.

 During erection, care shall be taken to adequately support the various instruments,
instrument accessories etc. until they are satisfactorily held down by bolts, clamps and
grouting to prevent the possibility of damage due to unexpected wind loads,
unbalanced stresses caused by non-uniform supports and machinery vibration etc.
Alignment, levelling, orientation etc. of instruments and instrument accessories shall
be done in a manner so that unnecessary strains are avoided.

 For any portion of the work executed by the Contractor and considered defective by
the engineer-in-charge, the Contractor shall have to take necessary remedial measures
to make the defects good at his own cost. The Contractor shall be responsible for the
proper workmanship, and he shall not be relieved of his obligation in this regard, just
because no objection was raised by the engineer-in-charge, during the progress of the
work.
Responsibilities:
The Service Provider, under this agreement, shall:

 All kind of tools and Tackles for any kind of Activity during the dismantling and Erection
of the project. of Shoe Press at PM-2

 Manpower accommodation, food and Travelling cost will be in contractor scope.

 Consumables also includes Emery paper, Electric extension boards and portable lights.

 All safety gadgets and precautions to be followed as per company policy.

 Strictly adhere to all safety norms / procedures, as directed by Purchaser and/or as


specified in the law of land.

 incorporate in his operations the requirements of all the "Safety Codes" and shall
instruct and provide the labour personal protective equipment required for the jobs
being executed.

 Report all misses, incidents and accidents and cooperate with the Purchaser for
investigations.
Workman ship and the performance of the jobs accomplished by Service Provider

entire work of Electrical, Mechanical and instrumentations. and specified standards
for the type of work shall be adopted by the contractor.

2. Work shall be done in approved manner, taking care to see that location and
alignment of various equipment’s and accessories etc. conforms exactly to the
requirements inclusive of any modifications, and changes that might become
necessary.

3. The entire job of the erection and commissioning should be to the entire satisfaction
of the Trident team.
