    2. I am signing this undertaking for the purpose of acknowledging my obligations about non- disclosure of confidential
    information and non-solicitation of employees and clients of Suntec Web Services Pvt. Ltd. (hereinafter referred to as
    “Company”) upon termination / resignation of my employment with the Company.

    3. I acknowledge to be bound by the restrictive covenants outlined below:

    A.) I will not directly or indirectly, disclose or use for any purpose whatsoever any Confidential Information which has
    been obtained by me or disclosed to me as a result of my employment with the Company. In accordance with the
    foregoing, I will return records of any kind or description, property, equipment, computer to the Company upon
    termination / resignation of my employment.

    B.) I will not in any way, directly or indirectly, for myself, or for any other person, firm, corporation, partnership,
    association or other entity:

    (i) Employ or attempt to employ any employee of the Company.

    (ii) Call on or solicit any of the actual or targeted prospective clients of the Company on behalf of any person or entity
    in connection with any business competitive with the business of the Company, nor shall I make known the names,
    addresses, data and business interests of such clients or any information relating in any manner to the Company’s
    trade or business relationships with such customers.

    (iii) Agree to offer my services or enter into any form of contractual relationship with any of the existing or
    prospective clients of the company if I am directly approached (solicited) by such client.

    C.) I acknowledge and affirm that the restrictive covenants outlined above are fair and reasonable and reasonably
    required for the protection of the interest of the Company.

    D.) I acknowledge and agree to be bound by the above restrictions.

    4. I acknowledge and agree that the Company will have the right to pursue a legal action against me including seeking
    permanent injunction against me in the appropriate court of law in the event of a default on my part of any of the
    provisions/ restrictive covenants acknowledged by me above.
