Preamble: This contract establishes the terms and conditions under which the Agent will
represent the Shipper in brokering transportation and logistics services related to wood products.

1. Employment Relationship:
1.1 The relationship between the Shipper and the Agent is independent in nature. The Agent will
act as a broker and will not be considered an employee of the Shipper.
1.2 The Agent has the authority to negotiate and finalize agreements with brokers to fulfill the
functions established by the Shipper.

2. Duties of the Agent:


2.1 The Agent agrees to carry out the following activities:
a. Negotiate rates and transport conditions with logistics and transport companies.
b. To be the means of communication between the Shipper and the broker.
c. Maintain accurate records of all transactions and activities performed on behalf of the
Shipper.
d. Inform the Shipper of any changes in the market that may affect logistics.

2.2 The Agent agrees to comply with all applicable laws and regulations related to their activity
as a broker Agent.

3. Duties of the Shipper:
3.1 The Shipper agrees to:
a. Ensure a dedicated load line with weekly routes that can guarantee the flow of profits
between the broker and the Broker Agent.
b. Make the corresponding payments to the broker within 30 business days after the
delivery of the cargo, provided that the documents verifying that the cargo was
successfully picked up and delivered are duly submitted.
c. Maintain competitive prices and conditions to facilitate sales.

4. Benefits and Compensation:


4.1 The broker will receive a minimum profit of $300 for each shipment.
4.2 The commissions will be paid within 30 business days after the delivery of the cargo.
4.3 The Shipper reserves the right to modify the rate, with prior notice to the Agent 15 days in
advance.

5. Confidentiality:
5.1 Both parties agree to maintain the confidentiality of all business, financial, and technical
information obtained under this contract.
5.2 This confidentiality obligation will remain in effect even after the termination of the
contract.

6. Duration and Termination:


6.1 This contract will have an initial duration of 1 year from the date of signing.
6.2 Either party may terminate this contract with 15 days written notice to the other party.
6.3 The termination of the contract will not affect payment obligations for sales made up to the
termination date.

7. Modifications:
7.1 This contract may only be modified in writing and signed by both parties.

8. Governing Law:
8.1 This contract will be governed and interpreted in accordance with the laws of the state of
California.

9. Final Provisions:
9.1 This document constitutes the complete agreement between the parties and supersedes any
prior agreements, whether verbal or written.

This agreement shall be governed by and construed in accordance with the loaws of the state of
Whittier/California with respect to contracts made and performed wholly within the STATE OF
CALIFORNIA.
