ABSTRACT In this paper we reveal the causes and the determinants of omitted shareholder proposals... more ABSTRACT In this paper we reveal the causes and the determinants of omitted shareholder proposals. We find that individual investors, as opposed to institutional groups, are more likely to submit proposals which are excluded from the proxy ballot. Since individual investors are not as skillful as institutional investors, we suggest that shareholder proposals are excluded mainly due to sponsors' lack of experience and knowledge, rather than as a self-serving vehicle for shareholder activists to gain bargaining power or to simply annoy management. We also find that most shareholder proposals are omitted because they deal with a matter relating to the company's ordinary business operations. JEL classification: G34
ABSTRACT This empirical note finds that the state-level employment growth rate is an increasing f... more ABSTRACT This empirical note finds that the state-level employment growth rate is an increasing function of the percent of the population (age 25 and over) with a high school diploma and warmer January temperatures. In addition, the employment growth rate is a decreasing function of the overall cost of living, higher state income taxation, and a higher percentage of the labor force that is unionized. Finally, and perhaps most interestingly, the employment growth rate is an increasing function of the percentage growth rate in the number of small firms (those with under 20 employees) in each state. Thus, it appears that the latter may in fact be a job-creating engine and that entrepreneurship is an employment-creating machine.
ABSTRACT This empirical study utilizes a hedonic pricing model and a large dataset to investigate... more ABSTRACT This empirical study utilizes a hedonic pricing model and a large dataset to investigate how property taxes and homeowners association (HOA) fees were capitalized into the real price of single-family homes from 2002 through 2013 in Duval County, Northeast Florida. The findings suggest that the real price was negatively impacted by real city and county property taxes, but positively affected by membership in an HOA. These findings are consistent with earlier research and have implications for government policy makers, real estate developers and civic groups, both regionally and nationally.

Our findings include: 1) the issues of a proposal play a significant role in determining whether or not the proposal achieves majority shareholder support; 2) ownership structure plays a significant role in the occurrence of a majority vote proposal; 3) most importantly, Institutional Shareholder Services (ISS) recommendations can significantly influence how shareholders vote. When a shareholder proposal which is opposed by management, receives a positive ISS recommendation, this proposal is far more likely to achieve majority shareholder support.
