Esta obra analiza la Constitución económica chilena desde una perspectiva histórica, jurídica y e... more Esta obra analiza la Constitución económica chilena desde una perspectiva histórica, jurídica y económica, incorporando en este análisis la finalidad económica perseguida por las normas constitucionales. En el Derecho chileno suele confundirse la noción de Constitución económica con la de orden público económico, por lo que en esta obra se ofrece una propuesta de distinción entre ambas nociones, de modo de concentrarse en el análisis de las normas constitucionales de connotación económica. Para ello se analiza la configuración chilena de los derechos fundamentales, atendido que la propiedad y la libertad de empresa, parámetros básicos de uno de los sistemas económicos, son considerados como tales bajo un artículo único (art. 19 CPR) que reúne derechos fundamentales de distintas generaciones. Asimismo, se analizan las normas reguladoras del papel del Estado en la economía, los controles jurisdiccionales, presupuestarios y monetarios; y se recoge además jurisprudencia y doctrina sobre las normas relacionadas.
Toda reforma constitucional o una nueva constitución desde una “hoja en blanco”, necesariamente deberá revisar las iniciativas de reforma ya existentes, razón por la cual en esta segunda edición se ha incorporado el análisis de la propuesta de reforma constitucional más reciente, que consta en el programa de gobierno de la presidenta Michelle Bachelet; se ha completado el análisis dogmático de las nociones de orden público económico y constitución económica, y se propone una nueva noción de dicho orden económico-público. De esta manera, la obra resulta indispensable para quienes requieran conocer el contexto y fundamento de las normas económicas-constitucionales vigentes, facilitando una adecuada reflexión para su permanencia o cambio, en el actual contexto nacional.

RESUMEN: El " orden público económico " es una noción tradicional en el derecho chileno, que sigue la noción que en 1936 desarrolló Georges Ripert. En los últimos años esta noción ha comenzado a ser cuestionada en el Derecho chileno. Por un lado, por su confusión con la noción de Constitución económica y por otro, por su eventual adscripción a un determinado tipo de Estado en materia económica. Lo anterior, invita a una revisión de la noción y su sustitución por " orden económico público ". Palabras claves: orden público económico-orden económico público-constitución económica-principios económicos-regulación jurídica de la economía.
ABSTRACT The "economic public order" is a traditional notion in Chilean law, which follows the notion developed in 1936 by Georges Ripert. In recent years, this notion has begun to be questioned in Chilean law. El libro “Constitución económica chilena” (Der Ediciones, 566 pgs. www.derediciones.com ) del pr... more El libro “Constitución económica chilena” (Der Ediciones, 566 pgs. www.derediciones.com ) del profesor Dr. José Luis Guerrero Becar tiene por objeto el estudio las normas de connotación económica de la Constitución chilena de 1980, ninguna de las cuales ha sido reformada desde su promulgación, no obstante haber transcurrido más de tres décadas desde su promulgación, y haber tenido vigencia en dictadura y en democracia. En este contexto, se plantea que el análisis jurídico de estas normas no puede soslayar el contexto histórico, político y económico previo a la redacción de la Constitución, así como su evolución posterior tanto bajo el régimen militar como en democracia.
Se analiza la Constitución económica chilena desde una perspectiva histórica, jurídica y económica, incorporando en este análisis la finalidad económica perseguida por las normas constitucionales. En el Derecho chileno suele confundirse la noción de Constitución económica con la de orden público económico, por lo que en esta obra se ofrece una propuesta de distinción entre ambas nociones, de modo de concentrarse en el análisis de las normas constitucionales de connotación económica.
Para ello se analiza la configuración chilena de los derechos fundamentales, atendido que la propiedad y la libertad de empresa, parámetros básicos de uno de los sistemas económicos, son consideradas como tales bajo un artículo único (art. 19 CPR) que reúne derechos fundamentales de distintas generaciones. Asimismo, se analizan las normas reguladoras del papel del Estado en la economía, los controles jurisdiccionales, presupuestarios y monetarios.
Lo anterior permite ensayar sobre las finalidades económicas que pretenderían las normas económico-constitucionales; la existencia o no de determinados sistemas y modelos económicos implícitos o explícitos en el Texto Fundamental y sobre el reconocimiento o preeminencia de alguna política económica por sobre otra bajo la Constitución chilena de 1980.
La obra recoge además jurisprudencia y doctrina sobre las normas de la Constitución económica chilena, culminando con algunas propuestas de reforma, en una pretensión de contribuir al debate que se produce en torno a nuestra Carta Fundamental.
El profesor José Luis Guerrero Becar es abogado de la Pontificia Universidad Católica de Valparaíso (PUCV), Máster Interuniversitario en Administración y Dirección de Empresas (MBA) por las Universidades de Barcelona, Autónoma de Barcelona y Politécnica de Cataluña (España), Máster en Derecho y Doctor en Derecho por la Universitat de Valéncia (España). Es ex Director de la Escuela de Derecho PUCV (2007-2016) y actualmente se desempeña como profesor titular (catedrático) de Derecho Económico y director del Magíster en Derecho de la Facultad de Derecho de la Pontificia Universidad Católica de Valparaíso-Chile.

El Servicio Nacional del Consumidor inicialmente se le limitó a funciones de educación e información, lo que se ha ido subsanando mediante reformas legales, la última de ellas por Ley Nº 21.081, que le permiten retomar funciones y atribuciones con las que en décadas anteriores contaron los órganos antecesores como el Comisariato, Superintendencia y Dirinco. However, it does not consider sanctions for the infraction of these duties or other actions in detriment of the suppliers. To the initial situation of unbalance which justifies a special protection for the consumers, an inequality of actions is followed, in which the supplier can only proceed according to the common law remaining outside the protection of a consumption right. El ámbito mercantil es probablemente uno de los sectores en que se han incorporado mayores innova... more El ámbito mercantil es probablemente uno de los sectores en que se han incorporado mayores innovaciones en cuanto a regulación, tecnología, modalidades y objetos de contratación, en especial, en la transacción de valores de oferta tanto pública como privada. En el sector financiero, por su relevancia económica, la regulación jurídica es indispensable ya que se comprometen principios, tales como, transparencia, información oportuna y completa, solvencia, protección de inversionistas minoritarios, administración leal, etc.
La obra recoge estudios generales como una propuesta de utilización de la noción “valor” en cuanto sustitutiva de “títulos valor” u otras similares, y reflexiona sobre diversas categorías jurídicas aplicables a la contratación de “valores”, en especial, aquellos de oferta pública, que luego de la irrupción de los denominados valores desmaterializados, deben necesariamente ser revisadas. En esta perspectiva, la obra analiza categorías jurídicas relevantes como el contrato de préstamos de valores y sus garantías, el usufructo de créditos, la naturaleza jurídica de las transferencias de valores desmaterializados, y la prenda sin desplazamiento de créditos nominativos y valores desmaterializados. Los estudios para mayor facilidad del lector, se reúnen bajo dos rúbricas: Derecho General y Derecho Especial.
Por lo señalado, el objeto de esta obra es reunir estudios jurídico-dogmáticos sobre los valores, en especial, sobre aquellos de oferta pública, para poner de manifiesto que las categorías jurídicas clásicas siguen en vigor, a despecho de la fuerza innovadora de la tecnología y de la dinámica de los mercados.

En el derecho chileno se utilizan diversas voces para identificar genéricamente al objeto de tran... more En el derecho chileno se utilizan diversas voces para identificar genéricamente al objeto de transacción en el mercado de valores, tales como: “títulos-valores”, “efectos de comercio”, “instrumentos financieros”, “valores”, entre otros, y suele otorgárseles significaciones análogas. Como el objeto de transacción representa diversos tipos de actos, parece razonable establecer una denominación común, y descartar que las expresiones hasta ahora utilizadas sean análogas, más allá del uso frecuente que se les aplique por los operadores jurídicos. De esta manera, se propone, atendida la evolución del derecho en la materia, que la noción de “valor” cumple adecuadamente con la finalidad aglutinadora prevista para identificar genéricamente al objeto de transacción en el mercado de valores.

Para ello se analiza la configuración chilena de los derechos fundamentales, atendido que la propiedad y la libertad de empresa, parámetros básicos de uno de los sistemas económicos, son consideradas como tales bajo un artículo único (art. 19 CPR) que reúne derechos fundamentales de distintas generaciones. Asimismo, se analizan las normas reguladoras del papel del Estado en la economía, los controles jurisdiccionales, presupuestarios y monetarios.
Lo anterior permite ensayar sobre las finalidades económicas que pretenderían las normas económico-constitucionales; la existencia o no de determinados sistemas y modelos económicos implícitos o explícitos en el Texto Fundamental y sobre el reconocimiento o preeminencia de alguna política económica por sobre otra bajo la Constitución chilena de 1980.
La obra recoge además jurisprudencia y doctrina sobre las normas de la Constitución económica chilena, culminando con algunas propuestas de reforma, en una pretensión de contribuir al debate que se produce en torno a nuestra Carta Fundamental.
El profesor José Luis Guerrero Becar es abogado de la Pontificia Universidad Católica de Valparaíso (PUCV), Máster Interuniversitario en Administración y Dirección de Empresas (MBA) por las Universidades de Barcelona, Autónoma de Barcelona y Politécnica de Cataluña (España), Máster en Derecho y Doctor en Derecho por la Universitat de Valéncia (España). Es ex Director de la Escuela de Derecho PUCV (2007-2016) y actualmente se desempeña como profesor titular (catedrático) de Derecho Económico y director del Magíster en Derecho de la Facultad de Derecho de la Pontificia Universidad Católica de Valparaíso-Chile.
La obra recoge estudios generales como una propuesta de utilización de la noción “valor” en cuanto sustitutiva de “títulos valor” u otras similares, y reflexiona sobre diversas categorías jurídicas aplicables a la contratación de “valores”, en especial, aquellos de oferta pública, que luego de la irrupción de los denominados valores desmaterializados, deben necesariamente ser revisadas. En esta perspectiva, la obra analiza categorías jurídicas relevantes como el contrato de préstamos de valores y sus garantías, el usufructo de créditos, la naturaleza jurídica de las transferencias de valores desmaterializados, y la prenda sin desplazamiento de créditos nominativos y valores desmaterializados. Los estudios para mayor facilidad del lector, se reúnen bajo dos rúbricas: Derecho General y Derecho Especial.
Por lo señalado, el objeto de esta obra es reunir estudios jurídico-dogmáticos sobre los valores, en especial, sobre aquellos de oferta pública, para poner de manifiesto que las categorías jurídicas clásicas siguen en vigor, a despecho de la fuerza innovadora de la tecnología y de la dinámica de los mercados.
