The formula,
=SUMPRODUCT((B13:B22>=E12)*(B13:B22<=E13)), has two
arrays that evaluate to a series of Trues and Falses that are
multiplied:
=SUMPRODUCT({TRUE;TRUE;TRUE;TRUE;TRUE;TRUE;TRUE;TRU
E;TRUE;TRUE}*{FALSE;FALSE;TRUE;TRUE;TRUE;FALSE;FALSE;TR
UE;FALSE;TRUE}). Note that TURE*TRUE = 1; FALSE*TRUE = 0
and FALSE*FALSE = 0. The formula then evaluates to:
=SUMPRODUCT({0;0;1;1;1;0;0;1;0;1}), and then finally to : 5.
This is becasue there are 5 ocurrances when there are two
TRUEs and thus 5 times that the two conditions (between the
upper and lower bound) are met.
The formula, =COUNTIF(B13:B22,"<="&E13)COUNTIF(B13:B22,"<"&E12), counta all the ones less than or
equal to the upper bound and then subtracts all the ones less
than the lowwer bound.
COUNTIFS is a new function in Excel 2007

The OFFSET function can be used to get the value in a cell, if you tell the
OFFSET function what cell is the starting point and how far from that
starting point (number of rows) you want to go to get the value.

COUNTIF function
=COUNTIF(Range of values to be counted,Criteria)
The criteria is considered text by Excel. For example, counting how many 75s there are in a range of cells, the criteria is "75", even if it is a number. Another
example: the criteria for greater than 75 is ">75"; this is still true even if you construct the critera in various ways such as: ">75" or a cell reference where >75
is in that cell (below it would be the cell reference F11) or if the criteria was ">"&F12. The three formulas would look like this: 1) =COUNTIF(C7:C19,">75") or
2) =COUNTIF(C7:C19,">"&F12) or 3) =COUNTIF(C7:C19,F11)
