With respect to the email received on 30th March 2019 from Mr. Mehernosh Pooniwala, and
final letter of cancellation with Godrej for the RMC Plant at village Bhayenderpada Thane, it
was mutually agreed by both the parties, that Mr. Gaurav Sharma will release 80% of Advance
Rent amount received which is Rs. 2,40,000/- (Rupees Two Lakh Forty Thousand Only).

For the balance 20% amount of Rs. 60,000 (Rupees Sixty Thouand Only) it was decided that
if in future as and when Mr. Gaurav Sharma will get a tax refund from Income Tax
department OR If the amount will be allowed to expense out in income tax for the coming
assessment year under such circumstances the amount will be refunded.

M/S Godrej and Boyce Mfg Co Ltd are aware of the fact that this amount was paid towards
Advance Rents and was booked as an income for Mr. Gaurav Sharma, however M/s Godrej
and Boyce Mfg Co Ltd were unable to conduct business from the said Premises. It was
therefore mutually decided between M/S Godrej and Boyce Mfg Co Ltd and Mr. Gaurav
Sharma that the Advance Rent received would be refunded however the Taxes since already
paid would not be refunded except for the condition mentioned in paragraph two of this letter.

M/S Godrej and Boyce Mfg Co Ltd will not hold Mr. Gaurav Sharma Liable for the balance
consideration if the tax refund is not received from the Income Tax department or if the amount
is not allowed as an expense in the coming assessment year.

000071 dated __08/04/2019_ drawn on __HDFC Bank_ being the Refund of Advance Rent
issued.
