AGREEMENT FOR SALE

This Agreement to sell is made on this the ______________day of January,


2022
By Air Mshl ( Dr) B Keshav Rao (hereinafter referred to as “the Seller”) of the
first party.

AND

Deepanjan Roy and Radhika Ramachandran (hereinafter referred to


collectively as “the Buyers” and individually as “Buyer 1” and “Buyer 2”,
wherever the context permits.) of the second party.

For the purpose of this Agreement for Sale and wherever the context permits,
the Seller and the Buyers together shall be referred to as “The Parties” and
individually be referred to as “a Party”.
WHEREAS the Seller is the absolute owner and sole possessor of the
property called C-4 Sainikpuri, morefully described in the schedule hereto.
( Hereinafter the property shall be referred to as C-4 Sainikpuri)
AND WHEREAS the Seller represents that C4-Sainikpuri is not in mortgage,
not attached in any bail as surety in any court, nor has any agreement to sell
been made with any other party prior to this Agreement for Sale.
AND WHEREAS the Seller has represented that C4-Sainikpuri is free from
all encumbrances including charges over it like, sale, gift, lease, lien,
attachment, demands, etc.
AND WHEREAS the Seller has decided to sell C4- Sainikpuri to the Buyers,
having obtained the consent of all his legal heirs and the Buyers have agreed
to purchase the same from the Seller on the terms and conditions appearing
hereinbelow.
NOW THIS AGREEMENT WITNESSETH AS FOLLOWS
1. The Seller will sell to the Buyers the entire property described in the
schedule as C-4 Sainikpuri for a total amount/consideration of around Rs.
Thirteen Crore (13,00,00,000).

2. In furtherance of their intention to bona fide purchase the property called


C-4 Sainikpuri from the Seller, the Buyers have made payment of Rs. One
Crore (Rs. 1,00,00,000) into the designated account of the Seller on
Monday the 24th of January 2022. This money is to be considered as
Earnest Money.

3. Upon receipt of the Earnest Money of Rs. One Crore (Rs. 1,00,00,000), the
Seller agrees that he will accept the balance of the consideration for the sale

of the property called C-4 Sainikpuri from the Buyers at the time of
execution of the conveyance deed (Sale Deed).

4. The sale of the property shall be completed within the first 10 days of May,
2022.

5. At the time of execution of the Sale Deed, the Seller shall give unto the
Buyers the original property documents that are in his possession.

6. The Seller declares that at the time of execution of the Sale Deed he shall
handover peaceful vacant possession of the property called C-4 Sainikpuri
to the Buyers.

7. All charges and levies on the property called C-4 Sainikpuri, issued by any
relevant regulatory authority for the time being in force, shall be borne by
the Seller up until the execution of the Sale Deed.

8. The expenses for the preparation of the Sale Deed, and documents
connected thereto and charges of Stamp Duty and Registration Duties in
connection with the sale of C-4 Sainikpuri shall be borne by the Buyers.

This document This legal document is signed by all the Parties hereto and is
reflective of their true intents and purposes. No Party has been coerced into
entering into this agreement and all Parties are aware of the facts and
circumstances of this document.
