    GENERAL POWER OF ATTORNEY

    KNOW ALL MEN BY THESE PRESENTS:

    This Contract entered into by and between:

    That I, Hanny Jane P. Valencia, of legal age, Filipino, with


    postal address at Zone 7 Brgy. Danlagan Lopez Quezon, after having
    been sworn according to law, do hereby appoint, name, and constitute
    Kim Panganiban, whose signature appears below, to be my true and
    lawful attorney-in-fact to act in, manage, and conduct all my
    properties and affairs and for that purpose to do and execute, in my
    name and on my behalf, all or any of the following acts, deeds, and
    things, as follows:

    1. To exercise general control and supervision over my business


    ResTea Milktea Shop and other properties in the Philippines, and to
    act as my general representative and agent, with full authority to buy,
    sell, negotiate and contact for me and in my behalf;

    2. To ask, demand, sue for, recover and receive all sums of


    money, debts, dues, goods, wares, merchandises, chattels, effects, and
    things of whatever nature or description which now or hereafter shall
    be or become due, owing, payable or belonging to me in or by any
    right, title, ways, or means howsoever, and upon receipt thereof or of
    any part thereof, to make, sign, execute, and deliver such receipts,
    releases, or other discharges for the same respectively as they shall
    think fit or be advised.

    3. To deposit money in and to withdraw the same from any of


    my existing account by check, withdrawal slip, draft or otherwise in
    any bank in my name; to sign, endorse, draw, accept, make, execute,
    deliver and pay checks, draft, bills of exchange, promissory notes,
    letters of credit, guarantees and all other writings, contracts and
    agreements;

    4. To make, sign, seal, execute, and deliver contracts,


    documents, agreements and other writings of whatever nature or kind,
    with any and all third persons, concerns, or entities upon terms and
    conditions acceptable to my said attorney;

    5. To apply for licenses, permits, and authorities with any
    agency of the government; especially to PLDT and National Housing
    Authority and to sign any and all papers, applications, documentsf for
    me and in my behalf;

    6. In general to do all other acts, deeds, matters, and things


    whatsoever in or about my properties and affairs, or to concur with
    persons jointly interested with ourselves therein doing all acts, deeds,
    maters and things herein, either particularly or generally described, as
    fully and effectually to all intents and purposes as I could do in my
    own person if personally present.

    HEREBY GIVING AND GRANTING unto my said attorney-


    in-fact full power and authority whatsoever requisite or necessary or
    proper to be done in or about the premises, as fully to all intents and
    purposes as I might or could lawfully do if personally present, and
    hereby ratifying and confirming all that my said attorney shall do or
    cause to be done under and by virtue of these presents.

    IN WITNESS WHEREOF, I have hereunto affixed my


    signature this 26th day of February 2023 in Lopez Quezon.
