The Sender may purchase insurance at rate of 1% of the parcel actual value and the maximum
coverage limit of the insurance shall be capped at RM10,000.00.

Compulsory to purchase insurance if the actual value of the parcel is more than RM1,000.00, if the
Insurance Sender did not insure his parcel, in the event where the parcel has been lost or damaged, the
compensation shall be based on the Letter of Customer Liability Declaration and/or Clause 17 –
Limited Liability of J&T Terms and Conditions.

The premium price given in this Proposal is for the period of the above selected month and will be
reviewed based on delivery quota for J&T Malaysia.

Remarks: Take notice that the customer shall revert the duly signed service proposal to J&T
Malaysia within one (1) month from the date of offer, failure of which the above premium rates
shall be invalidated and void after the stipulated one-month period, and subsequently both parties
shall enter into a new service proposal which has incorporated a new rate should the customer still
intends to engage the service of J&T Malaysia thereafter.

Deposit for Register New Account RM 500.00 (Payment method: only Banking Transfer)
The collection of Deposit for account opening purpose, and will be refund upon termination.

Deposit for Thermal Printer RM 500.00 for each Thermal Printer (Payment method: only Banking Transfer)
The deposit for Thermal Printer will be refund upon termination.

3. J&T Malaysia reserved the right to revise the Shipping Fees with seven (7) days prior notice to the customer.

1. The validity of the above proposed rate: months from the date of execution of this Proposal. After the validity
period, J&T Malaysia shall have the right to review and amend the existing rates based on the monthly parcel
commitment by the customer.
Offering Terms
2. This proposal will be contracted for the period of: months from the date of execution of this Proposal.

After the expiry of this Proposal, J&T Malaysia will charge shipping fees according to J&T Standard pricing until a new
Service Proposal is signed or extended.

Terms & Conditions


1. Account
The customer’s account is non-transferable and non-assignable to any other party. The usage of
account is solely for the particular customer’s benefit who is stated in this proposal and cannot be
used for the benefit of another party. The customer is not allowed to resell any J&T Express
(Malaysia) Sdn Bhd (hereinafter referred to as J&T Malaysia)’s service, in whole or in part to any
third party using this account.
Any unauthorised use of this Account or the Services must be reported in writing by the customer
or his/her authorised representative to J&T Malaysia as soon as practicable.
The customer shall remain liable for all transactions conducted with J&T Malaysia through this
Account prior to the reporting of such unauthorised use notwithstanding whether such transactions
or use of the Account was caused by or attributable to any circumstances, factors or conditions
beyond the customer’s control or knowledge including fraud, theft, misrepresentation or
deception.

2. Payment
Payments for the services shall be made by the Customer to the J&T Malaysia either by daily or
monthly as specify in Section E - Service Rate for Delivery to Service Area, upon receipt of
invoice(s) issued by the J&T Malaysia on or before the seventh (7th) day of every month. Such
invoice(s) shall contain billings and/or charges of the current month. Unless otherwise agreed in
writing, payments must be made promptly in full, without deduction, set off or counterclaim within
the credit term stated in the proposal or invoice issued.
Invoice(s) shall be issued by the J&T Malaysia to the customer for any payments due in accordance
with the Payment Terms as specified in this proposal.
J&T Malaysia reserves the right to exercise its statutory right to claim for interest and compensation
for debt recovery costs from the customer if the customer fails to make payments on time in
accordance with Clause 2. In such an event, the Customer shall pay to J&T Malaysia a late payment
interest of one point five percent (1.5%) per month on any amount(s) unpaid for the period
beginning from the due date to the date of full payment.

3. Credit Term
The credit term granted by J&T Malaysia herein shall be referred to Payment Term stated in this
proposal commencing from the date of execution of this proposal.

4. Credit Limit
Customer agrees that J&T Malaysia may implement a credit limit as abovementioned in the Payment
Term to Customer’s usage of the Service subject to prior notice to Customer either by direct
communication to Customer via written notice or email or notification and updates via J&T
Malaysia’s Mobile Application. If implement, Customer further acknowledges that J&T Malaysia
may block Customer’s usage of the Service once the credit usage has reached its limit. Customers
further understand that credit limits as may be imposed by J&T Malaysia to its customers may vary
with each customer. Prevailing credit limit (if any) shall be specified in the Payment Term.

5. Suspension of Account
J&T Malaysia shall be entitled to suspend or terminate the customer’s account, if the customer
default in any payment of any of J&T Malaysia’s invoices and any monies due to J&T Malaysia
including any late payment charges with prior written notice of thirty (30) days. For the avoidance
of doubt, the abovementioned suspension shall not prejudice the right of J&T Malaysia to
continuously bill the Customer for the Fees and/or recover all other charges, costs, and interests
due and any other incidental charges incurred during the period of suspension. In the event of non-
payment by the Customer and subsequent suspension of the Service by J&T Malaysia, the Customer
will still be liable to pay the Fees for the Service during the period of suspension. Should the default
in payment is rectified or remedied by the customer, such suspension or termination shall not take
place.
Notwithstanding the above, J&T Malaysia may reactivate the account if the customer has fully
settled all outstanding amounts due to J&T Malaysia.

6. Security Deposit
The customer may from time to time, be required by J&T Malaysia to provide a security deposit in
such form and amount as may be determined by J&T Malaysia for the grant of the credit term
herein and for the customer due observance of these terms and conditions and all other obligations
that the customer may have with J&T Malaysia Security Deposit.
Failure to provide such Security Deposit shall entitle J&T Malaysia not to provide or suspend or
terminate the Services.

The Security Deposit must be maintained at the sum specified by J&T Malaysia during the terms of
the Services. J&T Malaysia shall be entitled to call on the Security Deposit in whole or in part in the
event the customer default, breach or failure to observe and abide by these terms and conditions
or obligations that the customer may have with J&T Malaysia notwithstanding any other rights or
remedies available to J&T Malaysia. Where J&T Malaysia calls on the Security Deposit, the customer
shall within fourteen (14) days therefrom provide J&T Malaysia with such amount of Security
Deposit to replenish the amount of Security Deposit called by J&T Malaysia.
J&T Malaysia reserves the right at any time to require the customer to increase the amount of the
Security Deposit.
J&T Malaysia shall return the remaining Security Deposit to the customer after deducting all the
outstanding amounts due to J&T Malaysia (if any) within thirty (30) days free of interest upon the
termination of the customer’s account.

7. Asset and Equipment


In connection with any J&T Malaysia’s Asset and Equipment that may be provided by J&T Malaysia
for the use of the Service, the Customer shall:
i. Take appropriate measures to safeguard the J&T Malaysia’s Asset and/or Equipment;
ii. Properly maintain and keep the J&T Malaysia’s Asset and/or Equipment at a safe place;
iii. Adhere to all instructions and notice (written or otherwise) given by J&T Malaysia from time to
time regarding the use of such J&T Malaysia’s Asset and/or Equipment;
iv. Be responsible for all costs and repairs incurred in relation to the J&T Malaysia’s Asset and/or
Equipment in the event it is proven that any fault in such J&T Malaysia’s Asset and/or
Equipment whether by act or omission is caused by the Customer;
v. Return and surrender the J&T Malaysia’s Asset and/or Equipment to J&T Malaysia in the same
condition as and when it was first provided to the Customer, normal wear and tear excepted,
upon termination of the Service;
vi. Be liable to pay J&T Malaysia for any J&T Malaysia’s Asset and/or Equipment which the
Customer fails to return or surrender to J&T Malaysia upon termination of the Service;
vii. Not hold J&T Malaysia in the event that the Customer’s Asset, Equipment and/or other devices
is damage due to, including but not limited to, flood or fire or lightning strike whilst using the
J&T Malaysia’s Asset and/or Equipment; and
viii. Not hold J&T Malaysia liable or responsible in the event that J&T Malaysia are unable to
replace or change the J&T Malaysia’s Asset and/or Equipment to a similar model or type as the
existing J&T Malaysia’s Asset and/or Equipment and J&T Malaysia reserves the right to replace
the J&T Malaysia’s Asset and/or Equipment to any model or type available at the relevant time,
at J&T Malaysia’s sole discretion.
In the event of any technical faults encountered with the J&T Malaysia’s Asset and/or Equipment,
the Customer may request for technical support of the same from J&T Malaysia and J&T Malaysia
reserves the right to impose reasonable charges at the rate as specified in the Service Proposal or

any other rate as may be prescribed by J&T Malaysia from time to time.

8. The Customer’s Responsibilities, Undertaking, Representation and Warranties


The customer hereby expressly undertake, represent and warrant to J&T Malaysia that:-
a) The customer shall fully, promptly and punctually settle all charges, rates and other payments
payable by the customer under the terms and conditions and in respect of the customer use of
the Services;
b) The customer shall promptly pay and settle all applicable taxes including Government Taxes,
levies and/or duties in relation to the customer use of the Services;
c) The customer shall ensure that all information supplied by the customer to J&T Malaysia is
correct and accurate and shall remain correct and accurate so long as the customer continue
using the Services and the customer shall inform J&T Malaysia immediately of any changes to
such information; and
d) The customer shall comply with all applicable laws, rules and regulations, codes, circulars and
any requirements or guidelines or instructions which J&T Malaysia may provide to the
customer from time to time.

9. Terms
This proposal is effective starting from the date of signing of the proposal with a predetermined
period as stated in Section E – Service Rate for Delivery to Service Area, except in the event of
termination as stipulated in Clause 10 of this proposal.

10. Termination
This proposal may be terminated by either party immediately upon thirty (30) days written notice
to the other party in the event:-
a) A party intends to discontinue this proposal, without having to assign any reason whatsoever;
b) Serious and wilful misconduct, including repeated failure to perform the services as directed
in accordance with the Proposal;
c) Falsification of documents;
d) Negligence or wrongful disclosure of confidential information;
e) Dishonesty or negligence;
f) Conviction of or charge with any criminal offence involving a serious allegation of violence or
dishonesty;
g) Unauthorised withholding or late or non-payment of monies payable under this Proposal;
h) In relation to J&T Malaysia, having a winding up order is being ordered against J&T Malaysia;
and
i) In relation to the Customer, committing any act of insolvency or bankruptcy or being declared
bankrupt (in the event the Customer is an individual or sole proprietorship) or having a

petition for winding up being presented against it (in the event the Customer is a company or
limited liability partnership) or being dissolved (if the Customer is a society) or being
suspended or revoked (if the Customer is a sports governing body) or being cease to exist (if
Customer is a body corporate under any written laws) [whichever is applicable].
Save as otherwise provided by any liquidated ascertained damages clause contained herein, the
non-defaulting party shall have the rights to commence legal proceedings to claim compensation
and/or damages at law upon termination. Parties further agree that compensation, liquidated
ascertained damages and damages (whichever is applicable) may not be sufficient remedy for the
non-defaulting party and non-defaulting party shall be allowed to seek specific relief and/or other
equitable remedy.
Upon termination of this Proposal, all accrued rights and remedies of the parties shall remain
unaffected. The customer shall forthwith settle all outstanding payments due to J&T Malaysia.
Upon the termination of this Proposal, J&T Malaysia shall:
(i) forthwith cease from performing the services and shall forward to customer the relevant
invoice for the services up to the date of termination; and
(ii) be regarded as discharged from any further obligations under this proposal.
The customer shall pay to J&T Malaysia within seven (7) days from the date of billing and all sums
due and payable to J&T Malaysia under this proposal, if any.
The termination of this proposal from or without any cause shall not release any party from any
liability, which at the time of termination has already accrued under this Proposal in respect of any
such act or omission arising prior to such termination.

11. Confidentiality
Both parties agree that, unless they have the prior written consent of the other, they will not use or
disclose to any third party (other than for the purpose of performing this Proposal) the terms and
conditions of this proposal or any information confidential to the other party. The obligations shall
survive termination or cancellation of this Proposal.

12. External factors

J&T Malaysia shall not be responsible for any failure or delay in the performance of its obligations
under this Proposal arising out or caused, directly or indirectly, by circumstances beyond its
reasonable control such as (but not limited to):
(a) Acts of god including earthquakes, cyclones, storms, flooding, fire, disease, fog, snow or frost;

(b) Force majeure including (but not limited to) war, accidents, acts of public enemies, strikes,
embargoes, perils of the air, local disputes or civil commotions;
(c) National or local disruptions in air or ground transportation networks and mechanical
problems to modes of transport or machinery;
(d) Criminal acts of third parties such as theft and arson; or
(e) Accidents.

13. Exemption from Liability

J&T Malaysia is not responsible for the following items, but not limited to, examples:
a) Indirect loss;
b) Indirect damage;
c) Other indirect costs;
d) Loss of contractual benefits, profits or costs resulting from the delay, damage to or loss of the
contents of the parcel, whether or not J&T Malaysia knew or did not know the contents of the
parcel during the transmission. To ensure that the goods do not violate the law, J&T Malaysia
has the right but is not obliged to inspect all the goods. If J&T Malaysia is unaware of the
content of the parcel and subsequently it was found out that the consignment consists of
prohibited items, any loss, damage, or fines incurred will be borne by the customer solely.

14. Governing Law and Dispute Resolution

This Proposal shall be governed and construed in accordance with the Laws of Malaysia and the
Parties hereby agree to submit to the exclusive jurisdiction of the Malaysian courts.

15. Privacy Policy


J&T Malaysia is committed to protect the customers’ personal information and will take necessary
and relevant measures to safeguard the customers’ personal information in accordance with the
Personal Data Protection Act 2010.
This Privacy Policy governs the manner in which J&T Malaysia collects, uses, maintains and discloses
information collected from the customers. This policy only applies to personal information of
individuals that are processed for commercial transactions.
i. Collection of Personal Information
J&T Malaysia does not collect any personal information or personally identifiable information
when the customers visit our website (“Site”) or mobile application (“App”) unless the
customers opt to provide that information to J&T Malaysia or continue to proceed after being
informed or notified by J&T Malaysia that certain customers’ information will be collected.

J&T Malaysia may collect information that personally identifies the customer when the
customers choose to use J&T Malaysia’s services. The processing and utilisation of the
customers’ personal information will be done in accordance with the Personal Data
Protection Notice herein and all applicable laws.
ii. Disclosing Customers’ Personal Information
J&T Malaysia may disclose the customers’ personal information to the following parties
(including those located overseas) for the purposes stated above:
a) Agents and service providers who provide services relating to the purposes of which the
personal information is collected including data processing services;
b) Any person, who is under a duty of confidentiality and who has undertaken the
responsibility to keep such information confidential; and
c) J&T Malaysia's related and associate companies and affiliates.
J&T Malaysia will not disclose the customers’ personal information to unaffiliated third
parties without the customers’ consents unless such personal information is required by law
or in good faith and such action is necessary to comply with any law enforcement agency
requirements, court orders or legal processes. Prior to such necessary disclosure, J&T
Malaysia shall inform the Customer.
In addition, J&T Malaysia does not sell, trade, or rent customers’ personal information to
others.
iii. Accessing and Updating Customers’ Personal Information
If the User would like to request access, update or correct the provided personal information,
the User may contact us at vip.hq@j&texpress.my. Any request to access or correct personal
information will be bound by data protection laws in Malaysia.

Changes to this Policy


J&T Malaysia reserves the right to amend or update this privacy policy at any time to reflect
changes in the law, our business practices, processes or structure. Upon the update or
amendment, J&T Malaysia will post a notification on the Site or in the App and revise the
updated date accordingly. The customer acknowledges and agrees that it is the customer’s
responsibility to review this privacy policy periodically and become aware of modifications.

16. Personal Data Protection Notice


J&T Malaysia (“we”, “our”, “us”) respects and is committed to the protection of both our existing
and prospective customers’ (you, your) personal information and privacy. This Personal Data

Protection Notice explains how J&T Malaysia collects and processes your personal data in
accordance with the Personal Data Protection Act 2010 (“PDPA 2010”).
i. Personal Data
Personal Data means any information provided by you which relates to and/or relates back to
you may include but not limited to your: Name; Age; Race; Religion; Nationality; Identity
card/Passport number; Correspondence Office/Email address; Gender; Marital Status;
Home/Office/Mobile phone/Facsimile number; Bank Account Information; Login/Admin
password; Product code; Status of proceedings of courts of law, tribunals and arbitration;
and any other Personal Data as defined and described under PDPA 2010.
ii. Sources of Personal Data
The sources that the Company may obtain your Personal Data may include, but not limited to,
directly and/or indirectly from you, spouses, next of kins, family members, cookies used on
the website, documents, business directories, authorities, etc.
iii. Purpose of Collecting and Processing your Personal Data
The collecting and processing of your Personal Data may include, but not limited to the
following purposes: -
a) To process your requested services;
b) To process upon payment transactions, delivery of notices, forms, letters, and other
documents necessarily required;
c) To respond to your enquiries;
d) Communications with you and delivery of information by any communication methods
including, but not limited to email, telephone call, facsimile, short message service, social
media and other services;
e) Any other purposes provided for in our services and/or products offered by us;
f) Market survey and trend analysis;
g) Prevention, hindrance, reporting of any criminal activities including but not limited to,
fraud, bribery and money laundering;
h) Compliance to any legal requirements and/or to make any disclosure under the
requirements of any applicable law, regulations, directions, court orders, guidelines,
circulars, codes which are applicable to us;
i) For internal records and maintenance of our user database;
j) For Company’s credit risk management and credibility worthiness check of its users; and
k) To monitor, review and improve the Company’s services.

iv. Authorisation and Consent


Your Personal Data which are in our possession will be kept confidential and you hereby
consent and authorise us to disclose your Personal Data to the following categories of third
parties: -

professional advisors and/or consultants as we deem necessary;
b) Our third-party service providers as we deem necessary or appropriate;
c) Bank, financial institution, insurance companies, land authorities, Malaysian Inland
Revenue Board, Companies Commission of Malaysia, court of laws;
d) Any person and/or body corporate to whom we are compelled to or required under law
or in response to local, state, federal or international authority, court of laws, tribunal,
arbitration centre, commission, council or association legally authorised by law.

v. Your Obligations
It is your obligation to supply your Personal Data to us in the most accurate manner. If you do
not provide us with your personal data, we are unable to process your personal data on your
behalf, for the purposes stated in Clause 3 herein, or effectively render our services to you,
and all relationships created or to be created between us shall then be terminated and ceased
to be in effect immediately.
vi. Your Rights to Access and Correct your Personal Data:-

a) Right to request access to personal data


Subject to our rights of refusal under the Act and subject to payment of fee, you are
entitled to request access to your personal data that is processed by us with reasonable
notice.
b) Right to request correction of personal data
Subject to our rights of refusal under the Act and subject to payment of fee, you are
entitled to request the correction of your personal data that is held by that is inaccurate,
incomplete or out-of-date with reasonable notice.
c) Rights to limit processing of your personal data
You are entitled to limit our processing of your personal data by expressly withdrawing in
full your consent given previously including for us to send any advertising and marketing
materials or for direct marketing purposes subject to any applicable legal restrictions,
contractual conditions and within a reasonable time period.

17. Verification
J&T Malaysia reserves the right to verify the information supplied by the customer in the proposal
with any party or in any manner it deems fit.
The customer hereby fully authorise and permit J&T Malaysia to carry out all forms of credit and
financial health checks on the customer with any source as J&T Malaysia shall deem fit including

Bank Negara Malaysia (“BNM”), CTOS Data System, any other Credit Reporting or Credit Rating
Agency.

18. Assignment, Novation and Transfer


Neither this Agreement nor any of the rights, interests or obligations hereunder shall be assigned
by any of the parties hereto (whether by operation of law or otherwise) without the prior written
consent of the other parties. This Proposal will be binding upon, inure to the benefit of and be
enforceable by the parties and their respective successors and assigns.

19. Severability
If any or more of the provisions or part thereof contained in this Agreement should be or become
invalid or unenforceable due to any reason or reasons, this shall not in any way affect or impair the
validity or enforceability of the remaining provisions hereof.
If any provision shall be void, illegal or unenforceable but would be valid and enforceable if read
down, then that provision shall be read down to the extent necessary to render the provision valid and
enforceable.

20. Amendments
J&T Malaysia reserves right to vary, amend, modify or waiver of any provision and any information
supplied in this proposal with any party or in any manner it deems fit from time to time with prior
notice given to customer.
In the event that the J&T Malaysia is or was to make material changes to it, J&T Malaysia will
inform the Customer in writing by notice through the Platform or by other means. In the event any
customer is not agreeable to the changes, the customer may terminate this proposal with refund of
deposit. However, in the event that the customer continues to use the services after the written
publication of the notice of changes to the terms, the customer is deemed to have consented to the
changes.
Otherwise the terms and conditions stated as abovementioned, the customer shall be deemed to
have consented to be bound with the Terms and Conditions of Services and Deliveries as stated on
the official website of J&T Malaysia.
