With reference to your application and subsequent interviews, we are pleased to appoint you in Volans
Infomatics Private Limited on the terms and conditions listed below and in the following pages.

1. Probation and Confirmation

You will be on probation for a period of 6 (six) months from the date of your joining the Company. The
Company may extend your probation period by another 3 (three) months, at its discretion in the event of
your performance being found unsatisfactory. During, or at the end of the probation period, the
management of the Company may terminate your services without notice or assigning any reason
and you shall not have any claim to permanent employment or other consequential benefits that may
accrue to permanent employees of the Company. In case your work and conduct are found to be
satisfactory during the initial or extended period of probation, you will be confirmed by a separate
order in writing. You shall not deemed to have been confirmed till such a letter is handed over to you,
notwithstanding the expiry of the initial or extended period of probation and you shall continue as a
probationer.

2. Salary

a) Your salary will be Rs. 2,24,660/- P.A. Your salary will be reviewed based on your performance as
per the policy of the Company from time to time. Any benefits and entitlements under Company
policies that may be provided to employees are on a voluntary basis and shall be liable to change at
the sole discretion of the management of the Company from time to time and you shall not claim the
same as a right in any manner whatsoever.

b) You hereby agree that all amounts payable by the Company under this Offer of Appointment will be
inclusive of all taxes and will be subject to such withholding of taxes or taxes deducted at source, as may
be required under applicable law(s) from time to time. The Company assumes no responsibility for your
personal tax affairs and your tax liability in respect of your compensation (including the responsibility of
filing your income- tax returns) which shall be entirely your responsibility.

3. Place of Posting and Reporting

Your present place of posting will be at Noida. You are however liable to be transferred at the
discretion of the management of the Company to any other organization/ department/ process/
establishment/ sister concern/ subsidiary of the Company, owned/ controlled or operated by the
Company at present and/or acquired in the future, in India or overseas. Upon such transfer the rules,
regulations, terms and conditions of service applicable to such post and place shall be applicable to
you. In addition, you shall travel to such parts of India and the world as the management of the
Company may direct or authorize. You are liable to perform duties as assigned to you by the
management of the Company. Your title and reporting structure are subject to change at the sole
discretion of the management of the Company. Your refusal for such transfer will be considered as your
unwillingness to serve the Company and the Company will be free to terminate your services.

4. Medical fitness & verification of particular

Your appointment is subject to:

a) You’re being declared (and remaining) medically fit by a Medical Officer. The Base/Posted Unit has the
right to get you medically examined by any certified medical practitioner during the period of your
service. In case, you are found medically unfit to continue with the job, you will lose your lien on the job.

b) Verification of the particulars mentioned in your application: In case these particulars are found false or
unsatisfactory, your service would be liable for termination without any reason or notice thereof at any
time.
5. Duties and Responsibilities

a) The Base/Posted Unit will expect you to work with a high standard of initiative, efficiency and economy.

b) You will devote your entire time to work for the Base/Posted Unit and will not undertake any
direct/indirect business or work; honorary or remunerator except with the written permission of the
Management in each case.

c) You shall not seek membership of any local or public bodies without obtaining written permission from
the Base/Posted Unit.

d) You shall not give out to anyone during the period of your service and even afterwards by word of mouth
or otherwise, particulars or details of our manufacturing or other processes, technical knowhow, security
arrangements, administrative and/or organizational matter of confidential or secret nature, which may
be your privilege to know by virtue of your being our employee.

e) You shall keep confidential all the information and material provided to you by Volans Infomatics Private
Limited or any of the Base Unit or Posted Unit or by its Clients concerning their affairs, to enable the
Base/ Posted Unit to perform the service. This excludes only such information as is already known to
the public which also you will not release, use or disclose except with prior written permission of the
concerned Unit. Your obligation to keep such information confidential shall survive even on termination
or cancellation of the employment.

f) You will be responsible for the safe keeping and return in good condition and order of all the properties
of the company, which may be in your use, custody, care or charge. For the loss of any property of the
company in your possession, the company will have right to assess on its own basis and recover the
damages of such material from you and to take such other action as it deems proper in the event of
your failure to account for such material or property to its satisfaction.

g) You will not, unless specifically authorized by your superior officer in writing, give any interview in any
newspaper, magazine or write to press or media (print or electronic).

h) You will be provided the Cab facility on the agreement that you fully recognize all the possible risks,
which you are subjected to, while availing the same & would not hold the employer responsible for any
Accident/Incident that may result into loss of any nature while using the service.

6. Mode of Notification

a) All notices/correspondence required to be given pursuant to this Offer of Appointment and with respect
to your services shall be deemed given, if and when they are personally delivered, delivered by fax or
courier or speed post or by overnight mail delivery, in writing to you at the address stated above or at
another address intimidated by you in writing to the Company. You shall immediately intimidate the
Company in writing, about any change of address. In absence of your doing so, any
notice/communication/correspondence addressed to you and sent to your last known address, shall be
deemed to have been served on you.
b) Any notices/correspondence required or permitted to be given under this Offer of Appointment by you
to the Company shall be given in writing and delivered by fax or courier or speed post or by overnight
mail delivery.
7. Leaves

You will be entitled to 6 (Six) days of Casual Leave on joining on pro-rata basis and 12 (twelve) days of
Earned Leave upon your confirmation with the Company. Leaves will be as per the calendar year on
a pro-rata basis. The manner and number of leaves are subject to any modifications by the
management of the Company. You shall not carry forward any unused part of your leave entitlement to
a subsequent calendar year.

a) Casual Leave: Of the 6 (Six) days permitted of Casual Leave, leave for more than 3 (three) days at a time
is not permitted. A prior application for casual leave must be made which shall clearly state the reasons
for casual leave.

b) Earned Leave: Earned Leave shall be allowed for 12 days per calendar year (on Service Confirmation)
on a pro-rata basis. The grant of leave will depend on the exigencies of work and shall be at the
discretion of the management of the Company. An application for leave in the prescribed format shall
be made in advance to the appropriate authority seeking the prior sanction for leave.

Similarly for any extension of leave, an application in the prescribed format of the Company shall be made
in advance to the appropriate authority before the expiry of the leave originally granted. The application(s)
made shall have your contact details for the duration of your leave period. An application made by you for any
type of leave shall not automatically grant you the leave applied for.

8. Increment

The increments, if any, are at the sole discretion of the management of the Company. Any annual
increments will be based on merit, performance, discipline and targets achieved. Similarly, the annual
increments can be withheld if the performance is found unsatisfactory, or it can be accelerated in
case of exceptionally good performance.

9. Resignation

a) During the probation or any extended period of probation, if you wish to resign from the services of the
Company, you may do so, by giving notice as per applicable policy, in writing or gross salary in lieu
thereof. In the event of your resignation from the service, the management of the Company may accept
the same forthwith and relieve you from your service with immediate effect without incurring any liability
to pay you compensation for the unexpired period of the notice period. However, if the exigencies of
work so require, the management of the Company may choose not to relieve you from your services
before the expiry of your period of notice.

b) Upon your confirmation, if you choose to resign from the services of the Company, you may do the same,
by giving one month notice in writing or one month gross salary in lieu thereof. In the event of your
resignation from the service, the management of the Company may accept the same forthwith and
relieve you from your service with immediate effect without incurring any liability to pay you compensation
for the unexpired period of the notice period. However, if the exigencies of work so require, the
management may choose not to relieve you from your services before the expiry of your period of notice.

c) Any notice of resignation shall not be effective if it is given during the leave period and you shall not be
entitled to proceed on leave during the serving of your notice period.

d) In case any disciplinary and /or legal proceeding is pending or contemplated against you, the management
of the Company may refuse your resignation and in such case, your resignation shall not take effect till
the management of the Company accepts it.

e) Upon tendering your resignation, you will not be relieved of your duties, unless the resignation has
been accepted in writing by the Company and you have handed over complete charge of your job as
well as all materials, articles, documents etc. belonging to the Company that may have come in your
possession during the course of your employment with the Company.

f) In the event you fail to comply with any of the procedural requirements mentioned in this Appointment
Letter in relation to the termination/resignation of your employment with the Company, the Company shall
be under no obligation to issue a ‘clearance certificate’.

10. Full & Final Settlement

a) You shall be responsible and liable to the Company for any outstanding charges, penalties, losses,
dues caused by reasons attributable to you during the course of your employment with the Company
and the same shall be taken into consideration at the time of the full and final settlement of your dues,
if any.

b) The Company reserves the right to make adjustments and/or to deduct any amount from your salary
and/or other dues payable to you in case the Company suffers any loss on account of financial
irregularities etc. committed by you.

c) The full and final settlement of your dues will be paid on or after 15th of the month after 30 days from
your last working day of employment with us.

11. Termination

a) During the probation or the extended period of probation, your services can be terminated at any time
without assigning any reason with 7 (seven) days’ notice or gross salary in lieu thereof. After
confirmation, your services are liable for termination at any time without assigning any reason by giving
you one month notice or gross salary in lieu thereof.

b) Notwithstanding anything contained in this Appointment Letter, the Company may terminate your
employment summarily, without any period of notice or payment in lieu thereof, if including but not
limited to the following:

i. You are in breach of any of the terms of this Offer of Appointment and the Undertaking and
Indemnity Bond, which breach is either (i) incapable of remedy; or (ii) if capable of remedy, has
not been remedied by you within a period of 2 (two) days after receipt of notice of such breach
from the Company.

ii. You are found guilty of moral turpitude, fraud, disobedience, dishonesty or gross negligence,
misconduct whether minor or major or such similar activities.

iii. You are convicted by a Court of competent jurisdiction of an offence or indicted in any offence,
which in the opinion of the Company, will detrimentally affect the reputation of the Company.

iv. You have been found to be of unsound mind by a Court of competent jurisdiction and the finding
is in force or you are liable to be dealt with in any way under the laws relating to mental health.

v. If you misrepresent to the Company in any manner whatsoever and/or if you are found at any
time during the tenure of your employment with the Company to have furnished incorrect
and/or false information to the management of the Company at the time of your appointment
or thereafter.

vi. If you misuse the property of the Company entrusted to you. If you by virtue of your employment
with the Company and your position in the organization obtain any credit or benefit from any
of the employees, customers, suppliers or any other person, firm or company whatsoever
and take advantage of your position or influence for any personal gain or benefit from anyone.

vii. If you at any time make an untrue statement in relation to the Company or any associated
company and after the termination/resignation of your employment wrongly represent yourself
as being employed by or connected in any respect with the Company or any associated
company.

viii. If you, either during or after your employment, make any misleading, derogatory or untrue
comments or statements (whether orally or in writing) concerning the Company, any
associated company or its respective investors, officers, consultants, employees, customers,
prospective customers, suppliers, business partners etc.

ix. All business revenues and fees produced or transacted through the efforts of an employee in
his capacity as an employee of the Company are the sole property of the Company. You shall
have no right to the revenues other than the compensation/ remuneration provided for in this
Appointment Letter.
The aforesaid list of contingencies is illustrative in nature and is not exhaustive.

12. Abandonment and Automatic Termination

In the event you are continuously absent from your designated office/service for a period of 3 (three)
working days or more for any reason whatsoever without formal request or permission from the
management of the Company in writing, you will be deemed to have left the Company and relinquished
your employment. Such automatic relinquishment will be deemed as repudiation of the employment
with the Company by you without notice and not as a termination of employment by the Company and
accordingly, appropriate steps shall be taken against you for having terminated the employment
without proper notice.

13. Non – Solicitation and Non – Compete

a) You hereby acknowledge and agree that you are likely to be exposed to a significant amount of
information concerning the Base Units’ or Posted Units’ business methods, operations and customers
while employed under this agreement, that such information might be retained by you in tangible form
or simply retained in your memory, and the protection of Company’s exclusive rights to such information
and trade secrets can best be ensured by means of a restriction on your activities after termination of
employment. Therefore, for a two-year period following your employment termination (whether
voluntary or involuntary and with or without cause) you shall not compete, employ yourself, solicit, divert
or initiate any contact with (or attempt to solicit, divert or initiate any contact with) any or customer,
client, independent contractor or employee of the company or Posted Unit for any commercial or
business reason whatsoever, directly or indirectly.
14. General

a) You will be governed by the Service rules and Regulations including the conduct, discipline and
appeal rules, administrative orders, policies in effect and such other rules/orders of the Base Unit
and Posted Unit, (in case of deputation), that may be in force from time to time. At all the times the
Base Unit shall be your Legal Employer.

b) You are appointed on the basis of your education and experience mentioned by you in your
application/personal Data Form. In case the facts mentioned there in are found to be incorrect, this
will result in termination of your appointment without any notice or salary in lieu thereof.

c) Your age mentioned in the Matriculation/Higher Secondary Certificate will be the conclusive proof
of your date of Birth.

d) You will inform in writing to the Base unit any change of address within a week from the change of
the same, failing which any communication sent on your last recorded address shall be deemed to
have been served on you.

e) You will hand over the charge and the property and material of the Base Unit in your possession at
the time of cessation of your employment with the Base Unit.

f) You will be liable to pay damages to the Base Unit for the loss caused by you directly or indirectly
in addition to other legal remedies which may be required for violating any if the provisions of this
letter and for this the court at Delhi, India will have jurisdiction.

g) The designation assigned to you is subject to change depending upon work assignments from time
to time.

h) During employment with the Base Unit you may be transferred to any of the groups/ Organizations/
Offices/ Project/ divisions/ departments/ units or to be setup in any other location in India or abroad.

I have read and understood the terms and conditions of my appointment stated above and in the earlier pages
and hereby signify my acceptance of the same.
