AGREEMENT OF SALE

This AGREEMENT OF SALE is made and executed on this the 05th


day of June, 2024 (05.06.2024) at Bangalore by and between:-

Hereinafter called the ‘VENDOR’ of the ONE PART:

Hereinafter called the ‘PURCHASER’ of the OTHER PART;

Whereas the terms Vendor and Purchaser shall mean and include
their respective heirs, legal representatives, executors, administrators
and assignees etc.

Whereas the Vendor is the sole and absolute owner in possession of


the property bearing No.136, Katha No.52 formed out of
Sy No.13, situated at Honnaganahatti Village,
Thavarekere Hobli, Bangalore South Taluk, presently
comes under Channenahalli Gramapanchayath of
measuring East to West: 15.24 Meter (50 Feet) and
North to South : 9.14 Meter (30 Feet) totally measuring
139.2936 Meter (1500 Sq.ft) Which is morefully described in the
schedule hereunder and hereinafter called the schedule property.

Whereas the above mentioned vendor has acquired the property from
Mr.A.S.Mohan through the registered release deed vide document
bearing No.TVR-1-01182-2023-24, Book-I, Dated: 24.07.2023,
registered at Sub-Registrar, Tavarekere.

Whereas the Khatha of the schedule property stands in the name


of the Vendor in the records of concerned office and the Vendor has
been paying the taxes thereof regularly to the said office and till this
date the Vendor is herein in peaceful possession and enjoyment of the
same and it is free from all encumbrances.

Whereas the Vendor for want of money for domestic and other
legal necessities has offered and agreed to sell the schedule Property
to the Purchaser for a valuable consideration sum of Rs.75,00,000/-
(Rupees Seventy Five Lakhs Only) free from all encumbrances and
the Purchaser has accepted the offer of the Vendor and agreed to
Purchase the Schedule Property for the said sale consideration.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. The Purchaser has agreed to pay an amount of Rs.2,00,000/-


(Rupees Two Lakhs Only) to the Vendor by way of Cash and the
Vendor has acknowledges and admit the receipt for the same.

2. The purchaser has agreed to pay balance amount of


Rs.73,00,000/- (Rupees Seventy Three Lakhs Only) will be
paid within 3 months at the time of registration of sale deed
after handing over the House key in favour of the purchaser.

3. Whereas the Vendor assures the Purchaser that the Schedule


Property is free from lien, charge, court attachments, minor
claims, maintenance claims, family rights, mortgage, etc, and in
future if any disputes or litigation’s arises, set right the same by
his own cost and risk.

4. Whereas the Vendor agrees to handover the vacant clear


possession of the Schedule Property along with the relevant
documents in original and upto date tax paid receipt at the time
of registration of absolute sale deed.

5. Whereas the Vendor agrees to execute Absolute Sale Deed in
favour of the Purchaser or his nominee/s, and the expenses
incurred for registration shall be borne by the Purchaser/
nominee/s themselves.

6. Whereas the Vendor agrees that they have not done any kind of
sale transactions nor received any sale consideration amount
from any person/s towards the Schedule Property prior to this
sale Agreement.

7. Whereas the Vendor is having a good title and has right to sell
the schedule Property.

8. If any litigations or complications arises regarding the schedule


property, the Vendor shall set-right the same at their own cost
and risk.

9. That both the parties hereby agrees that if they are in breach of
covenants herein made, then they are at liberty to enforce the
specific performance of this Agreement of Sale.

SCHEDULE PROPERTY
All that piece and parcel of the property bearing No.136,
Katha No.52 formed out of Sy No.13, situated at Honnaganahatti
Village, Thavarekere Hobli, Bangalore South Taluk, presently
comes under Channenahalli Gramapanchayath of measuring
East to West: 15.24 Meter (50 Feet) and North to South : 9.14
Meter (30 Feet) totally measuring 139.2936 Meter (1500 Sq.ft)
together with all rights appurtenances whatsoever
underneath or above the surface and bounded on :

East by : Road
West by : Site No.141
North by : Site No.135
South by : Site No.137

IN WITNESS WHEREOF, THE VENDOR AND PURCHASER HAVE


AFFIXED THEIR RESPECTIVE SIGNATURES TO THIS AGREEMENT
OF SALE ON THE DATE AFORESAID AT BANGALORE.
