Dear Sirs,
Thank you for your interest in VERITAS Interiors Sdn Bhd to act as interior design consultants for the above
mentioned project and further to your brief requirements, we are pleased to submit herewith our Professional
Services Fee and proposal for your agreement.
1. PROJECT DESCRIPTION
Refers to an area on the 27th floor which is 14,327 sqft with the concept images, we are hereby submit
an estimate cost for the construction work of the Interior Design which is RM3,868,290 (Ringgit
Malaysia: Three Million Eight Hundred Sixty Eight Thousand Two Hundred and Ninety Only). The
scope of building works include items below:

- Preliminary works
- Demolishing works
- Mason works
- Wall and Partition
- Wall finishes
- Floor finishes
- Ceiling works
- Door & Ironmongery
- Built in Furniture
- Glazing Treatment
- Light fittings
- Sanitary Fittings
3. PROFESSIONAL SERVICES
Interior Design services to be provided shall be in accordance with Architects Rules 86 which
includes:
a) To prepare preliminary concept design proposals based on the Client’s project brief requirements.
b) To liaise with the Client and/or Project Manager in respect of the preliminary concept proposals
and thereafter to finalize the design for the Client's approval.
c) To develop the approved design to a stage sufficient for submission to the relevant authority, if any,
for the purpose of obtaining regulatory approval.
d) To liaise with and coordinate with other consultants appointed as and when required.
e) To prepare cost estimates based on approved concept design and layout.
f) To prepare a Project Planning and Work Program
Deliverables: Concept and Design strategy and write up. Layouts of interior arrangements, Slide
presentation, Visuals, Material proposal, Budget and timeline.
a) To liaise with the Client and the Project Manager to further develop the schematic design to the
Client's approval.
b) To develop details for FF&E, MEP coordination and all design finishes specifications for Client’s
confirmation and sign-off prior to contract documentation.
c) To liaise with and to prepare presentations of the proposed development to the Client as and when
required.
d) To liaise with and coordinate with other consultants appointed as and when required;
e) To prepare budget updates for the Client
f) To assist in the project planning and implementation schedule and to coordinate with other
consultants' works to meet the targeted budget and schedule.
Deliverables: Final layouts of interior including Electrical arrangements Material boards and
specifications, Specification sheets, Costing Details of design.
4. PROFESSIONAL FEES
Fees to be charged shall be on a RM230,000.00 (Ringgit Malaysia: Two Hundred Thirty Thousand
Only). Payment of our fees, if applicable, shall be paid by the client within 21 days of receiving our
billings.
The estimated time frame for the completion of the project is Mid April 2017.
7. REIMBURSABLES
Cost of overseas travel and outstation travel outside the Kuala Lumpur and outstation communication /
courier costs shall also be chargeable at cost. Printing and reproduction are chargeable at our standard
rates (Appendix 3) for tender and submission drawings and any additional sets beyond the 2 nos.
complimentary sets for the Client at each stage of service.
8. ADDITIONAL/VARIATION SERVICES
Additional/variation services due to any major changes required by the Client requiring significant re-
documentation of the project after confirmation at the various stages, other than code-compliance
requirements, shall be charged on a nominal time-cost basis on our office standard man-hour rates, or a
pre-agreed lump-sum fee based approximately on this calculation method.
9. FORCE MAJEURE
9.1 VERITAS shall not be liable for any failure to perform the Services caused by any Force
Majeure events. For the purpose of this Clause, Force Majeure means the outbreak of war,
hostilities (whether war be declared or not), invasion, acts of foreign enemies, rebellion,
revolution, military or usurped power, the overthrow whether by external or internal means of
the Government, civil war, riot, disturbances, civil commotion or any similar cause beyond the
control of the Consultant which prevents or adversely affects the performance of the Services.
9.2 Should the performance by VERITAS of the Services be prevented or adversely affected by
the Force Majeure, he shall as far as reasonably practicable, give notice in writing thereof to
the Client and, subject to such notice having been given, shall be reimbursed any extra costs
and expenses as may have been necessarily incurred by reason of the Force Majeure.
9.3 Should the performance by VERITAS of the Services be wholly or substantially prevented by
the Force Majeure for a period of not less than 90 consecutive days, he shall be entitled at the
expiration of such period of 90 days to give to the Client not less than 14 days notice in
writing terminating this Agreement. Upon the expiration of such notice, the Consultant shall be
entitled to receive the same remuneration and reimbursement as if this Agreement had been
terminated by the Client under Clause 11 plus any payments which may have become payable
under Clause 12.2.
10. ARBITRATION
In the event of any dispute between VERITAS and the Client, whether arising during or after the
rendering of architectural consultancy services under the Letter of Appointment, either party shall give
a notice in writing to the other party informing him of the matter in dispute and requiring its settlement
and such dispute shall be referred to the Kuala Lumpur Regional Arbitration Center (KLRAC).
11. COPYRIGHT
Copyright shall be in accordance to the Conditions of Engagement of an Architect (Item 19) Architects
Act, 1967. We shall reserve the right to photograph the works upon completion and to publish the
project in our brochure, professional and industry publications and general media or to submit the
completed project for design awards (without disclosing the Client’s identity, if preferred). Publication
of all interior spaces after occupation by the Client shall be with prior approval from the Client. For
sales and marketing purposes, the Client may use the names of the architect firm and its associated
consultancy firms
The Client is free to terminate this agreement at any time by giving 2 months notice. Fees due shall be
only up to the stage of service instructed by the Client and completed, plus quantum meruit for that
portion of the stage underway at the time of termination. The 2 months notice period is for VERITAS to
wrap-up the documentation record, which will be submitted to the Client in exchange for the final
payment.
14. AGREEMENT
VERITAS does not require this agreement to be “stamped” by the courts. If the Client requires this
formality, the cost of stamping shall be entirely borne by the Client. If services proceed as
required/instructed by the Client despite the absence of a signed agreement, the terms described above
shall be deemed as having been accepted by the Client.
15. OTHER MATTERS
Any other items not expressly covered by the above terms shall follow the relevant guidelines and
legislation governing the profession of Interior Design in Malaysia.
We trust that the above is in order, however please advise if you require any further clarifications. Otherwise,
your signature below shall confirm this appointment according to the above terms.
