01 February 2010 Sub: Appointment Letter Dear Ms.

Jane Silverstone It is our pleasure to inform you that you have been appointed as Fraud Analyst in our company on a short term contract from 01/02/2010 to 30/07/2010. You will initially be employed in Dubaibut you should be prepared to move to other parts of the country in the future, should the need arise. This offer letter is subject to the following terms:Remuneration 1). You will be paid a salary of $ 5,500/- . This salary will be paid on the following heads: Basic Salary $ 3,575/Allowance $ 965/Transport Allowance $ 960/Medical and Life Insurance You will be entitled to medical cover through a private insurance company. This is to be arranged by the Agency. You will also receive Life Insurance cover upon joining the Agency, coverage of which will be according to the plan chosen by the Agency as detailed herein below: A. Life Benefit

The Life Benefit becomes due in the event of the insured staff members death due to natural causes, thus not falling within the meaning of section B below, prior to age 65 years, whether at the time of death the staff member is on business or at home, including vacation, travel, etc. The life benefit amounts to four times annual Basic Salary (thus excluding any allowances and bonuses) per insured person. Alico shall pay the full life benefit as specified above, subject to any free cover restrictions.

Exclusions

1. Accidental death shall mean any bodily injury involuntary sustained by the insured staff member as a consequence of a sudden and unpredictable intervention of external forces. 2. Intentionally self-inflicted injuries and suicide, whether sane or insane. 3. Active participation in a war or in warlike operations. 4. Active participant in warlike operations means an active member of the military forces, e.g. Army, Navy, Air Force, Territorial Army or Police or any other special forces activated by Government or other public authorities to defend law and order in case of a warlike operation or any other person who takes up arms in an active or defensive role. Warlike operations means hostilities, mutiny, riot, civil commotion, civil war, rebellion, revolution, insurrection, conspiracy, military or usurped power and martial law or state of siege. 5. Cover does not cease when terrorist activity is involved as long as the insured staff member is not an active participant. 6. Passive war cover is excluded if an insured staff member is going to a country after war has been declared in that country or after it has been recognized as a war zone or where there are warlike operations. 7. The direct or indirect results of explosions, heat release or radioactivity resulting from terrorist activities or war or warlike operations.

Office Timings Our working hours are a maximum of 48 hours per week. Depending on the nature of your job, you could be expected to work irregular hours or shifts including nights, weekends and holidays. You realize that hours of work will be aligned to the requirements of work and deliverables. Hours of work will not in any manner be a constraint to the delivery of results, and you will be expected to work the hours required for the satisfactory performance of your duties. Based on the exigencies of work, the normal hours of work, as decided at the work place, may be subject to change. Annual Leave & Public Holiday You will be entitled to leave days as follows: 1. Two calendar days for every month you have worked for more than six months but less than one year. 2. Thirty calendar days annually, following completion of 12 months of continuous service. The dates of such leave shall be approved in advance by the person to whom you shall be reporting. You will not have the right to request the transfer of the annual leave into cash.

In accordance with the Labour Law the Agency shall grant paid holidays*, in addition to annual holiday entitlement, which may not be accumulated as part of your annual leave. *being subject to any changes made or incorporated by the United Arab Emirates Central Bank, or changes made in the Labour Law, from time to time. Sick Leave You will not be entitled to any paid sick leave during the first six months of your employment. Upon completion of the first six months of employment, should you become ill, you will be entitled to sick leave wages as follows: 1. Full wage for the first 15 days. 2. Half wage for the next 30 days. 3. Any following period will be without wage. Illness resulting from misconduct will be without sick pay entitlement. Absence from work due to sickness of more than two working days should be supported by a medical certificate. The medical certificate is to be submitted to the relevant Team Leader. Probation Period Confirmation of your services with the Agency will be subject to your satisfactory completion of a Six Month Probation Period in accordance with the Labour Law, which starts from your initial date of joining. Performance Reviews A review will take place annually and will be based on your previous 12 months achievements and any personal development projects undertaken during that time. Secrecy and Confidentiality You recognize and acknowledge that you will have access to certain confidential information of the Agency, of entities affiliated with the Agency and confidential information belonging to a client of the Agency and customers of any such client. You acknowledge that you will not disclose any such confidential information to any person, firm, corporation, association or other entity for any reason whatsoever except to authorized representatives of the Agency and its affiliates. You undertake to execute the Declaration of Confidentiality upon commencing employment with the Agency. You acknowledge that this shall form an integral and inherent part of this letter and the conditions of your employment. Any breach of the Declaration of Confidentiality shall be regarded as grounds for summary dismissal.

Exclusivity During the term of your employment, you shall not without the prior written permission of the Agency be entitled to directly or indirectly, temporarily or permanently be engaged by or do any business with individual(s) or companies other than the Agency, and you shall be prohibited from trading in your own account during this period. Copyright All rights subsisting in the intellectual work executed by you in the course of your employment with the Agency shall vest either directly in the Agency or the Agencys client, or indirectly in the Agency, on behalf of the Agencys client, as applicable and the consideration payable to you for such work shall abide in the remuneration paid to you in terms of the Basic Salary as stated herein. Notice for Termination of Contract The notice periods required are 1 month written notice by the Agency and 1 month written notice by you. In cases of gross misconduct the Agency reserves the right to terminate employment without notice. Acts of gross misconduct include serious breaches of the terms of any DSA manual or other policies, procedures or other manuals published by the Agency from time to time. Upon the termination of your employment, you will immediately deliver to the Agency all documents, notes, records, discs, cassettes, and programs (in each case whether written or in machine readable form) which may be in your possession or under your control, and which relate in any way to the property, business or affairs of the Agency or the Agencys client as applicable, together with all copies and duplicates. Furthermore, you shall deliver to the Agency all other property of the Agency or the Agencys client as applicable in your possession or under your control, including by way of example, mobile phones, laptops .etc. Other Terms & Conditions This offer is contingent upon the following: A pre-employment screening check, including the receipt of references satisfactory to the Agency; CID Clearance if applicable Verification of the information that has been provided to the Agency in the course of the application process

You being in possession of the necessary documentation to live and work in the country, and the Agency being able to obtain all necessary work and residence permits for you. This includes the government medical check

For general guidance on local human resources issues, you may refer to the DMA Manual which forms an integral part of this letter. In addition, a DMA Welcome Pack will be presented to you upon acceptance of this offer. All changes to your terms and conditions will be fully discussed prior to being implemented, and will be documented and may require your signing an amended contract. Should you resign within the first year of your employment, you will be required to reimburse the Agency for all costs and expenses which have been incurred relating to your recruitment. You accept and acknowledge that your personal data such as your name, date of birth, age, sex, address etc may be held by the Agency and shared with any third party, credit bureaus, regulatory or statutory authorities etc if needed. Your employment shall be governed by and construed in accordance with the laws of the Emirate of Dubai and you hereby submit to the jurisdiction of the courts thereof. If you accept and acknowledge that your employment is in the United Arab Emirates only, and no right of action exists in any other jurisdiction including, without limitation, the jurisdiction, by signing the Acknowledgement form you expressly waive any claim or action in any jurisdiction outside the United Arab Emirates. If the above offer is acceptable to you, please sign the attached Acknowledgement form below indicating your agreement to the terms and conditions set out above.
