Dear Sir/Madam,
1. Thank you for your interest in becoming one of our valued suppliers and we look
forward to your continued support. The following outlines our terms and conditions
for your perusal.
You hereby agree that should there be any changes in prices or packaging, you will
give us 30 days notice and ensure that the changes are effective only on the first day
of the month. For example, if you give us notice on 15 October 2011, then changes
can be effected only on 1 December 2011.
You hereby agree that we may not accept your goods if they are delivered outside
these stipulated timing.
6. Delivery Fulfillments
You hereby agree that you shall always endeavor to deliver all items requested for in
our Purchase Orders ("POs") on the specified date of delivery. You agree that failure to
do so is a breach of this agreement and we reserve the rights to terminate you as our
valued supplier.
7. Integrity of Supply
You hereby agree to ensure the integrity of the items specified in Annex A and will not
change the items, inter alia quality, packaging, etc., without our prior written
approval.
8. Continuity of Supply
Unless there is non-compliance on our payment, you hereby agree to ensure the
continuity of supply for the abovementioned items to us.
You undertake to give us no less than 90 days notice in the event your esteemed
company is not able to fulfill our orders for the items specified in Annex A or
compensate us accordingly for our losses incurred as a result of your failure to do so.
You hereby agree that liquidated damages for your failure in delivery shall be double
the Average Monthly Purchases for the immediate last 3 months. However, the
liquated damages shall be waived should there be any unforeseen circumstances
resulting in the national level shortage of the item.
You hereby agree to allow us to deduct from our payments due to you for any
liquidated damages incurred.
For orders made in April 2016, your esteemed company will send (in person) to our
Finance Department before 7th May 2016 (7 days after month end closing) the
following:
The SOA and Invoices must be sorted accordingly to outlet. We will pay for the full
month of the SOA. Any invoices that fall outside the calendar month will NOT be
accepted. Any invoices that you have forgotten to bill in previous months will be
deemed waived by you.
You hereby agree we may hold your payment beyond your given credit terms for any
non-compliance of the work flow stated above until the necessary documentation are
given to us.
You agree that repeated non-compliance of the above shall be deemed as breach of
this agreement and may lead to your termination as our valued supplier.
12. We look forward to your continued support. Kindly sign (on every page) and return a
copy to us as your acceptance and agreement to our proposed terms and conditions.
