Dear Mr. Pogorelov,

Thank you for your interest in the equipment and works of the Siemens Company.

We send you our technical and commercial proposal (hereinafter “Proposal”) according to requirements of your
project.
We suggest you to consider our supply of equipment (hereinafter “Equipment”) and performance of works
(hereinafter “Works”) according to the specification (Annex №1, 2 hereto) on the following terms:

Price of Equipment:
Price of Equipment is EUR 220 000,- VAT exclusive.
The list of the deliverable Equipment is provided in the specification Annex №1.
The price of the Equipment includes the cost of a container, packing, marking and transportation on the terms
of DDP Pervomaiskii.

Price of Works:
Price of Works is RUB 3 630 310,- VAT exclusive.
The list of the Works performed on the project is provided in the specification Annex №2.

The total price of the Proposal includes overhead costs such as meals (per diem), transport, hotel and other
payments in accordance with the current Legislation of the Russian Federation.
The price of all offered Works considers the performance of Works under normal conditions, provided that Works
are performed from Monday to Friday at a maximum of 40 hours per week and, given that Works can be carried
out continuously, without obstacles, delays or stops, in compliance with all the rules and regulations of Works
in normal conditions.

If for any reasons which are beyond control of the Contractor a part of Works should be done above the limit of
normal working hours, every hour above the limit of normal working hours spent by the Contractor’s specialist
for performing the Work shall be paid for at the rate of 7,000 rubles excluding VAT: from Monday to Friday from
6:00 to 8:00 h and from 17:00 to 22:00 h - in the amount of 25%; from Monday to Friday from 22:00 to 6:00 h
and on weekends and holidays - in the amount of 50%.

In case of delay in the performance of Works through no fault of the LLC Siemens, the downtime will be
calculated at the current hourly rates, and the invoice amount will be increased by the amount of documented
its expenses of LLC Siemens in connection with the departure of his specialist to the Site, multiplied by an
increasing factor of 1.25.

If, for reasons beyond LLC Siemens control, it is required to perform Additional Works, then such Additional
Works are subject to payment at a daily rate of 65,000.00 Rubles excluding VAT.
In addition to the cost of additional Works, the Customer shall pay to LLC Siemens the costs incurred by LLC
Siemens in connection with the departure of LLC Siemens 's specialist to the Customer's Site and back,
multiplied by an increasing factor of 1.2, including but not limited to:
• Transportation costs of LLC Siemens 's specialist for travel to the Customer's Site and back (if LLC Siemens
's specialist gets to the Site by air or rail),
• Compensation of the time spent by LLC Siemens 's specialist on travel to the Customer's Site and back,
depending on the remoteness of the Customer's Site from the Contractor's location:
• - travel time up to 16 hours - 85 000,00 Rubles (excluding VAT);
• Expenses for accommodation of LLC Siemens 's specialist in a hotel / rented apartment at the place of
rendering of Works;
• Postal and telephone costs used in connection with the performance of the Works;
• Any other costs associated with the departure of the specialist to the Customer's Site and back;
• When LLC Siemens uses consumables and / or other tools of LLC Siemens (rented by LLC Siemens) to
perform Works, the cost of Works increases by the cost of such materials / the cost of using (renting) such tools.

Terms of payment:
Are subject to discussion at a stage of coordination of the Contract.
LLC Siemens offers to consider the following payment procedure:
- 30% advance payment of the Proposal within 15 days upon Contract signing;
- 50% of price of Equipment within 15 days upon notification that Equipment is ready for sending to the
warehouse of the End Customer;
- 20% of price of Equipment within 15 days after delivery of Equipment for the End Customer's
warehouse;
- 70% of the price of Works within 15 days after signing of the Acceptance Act for Works.

Delivery terms and conditions:

Delivery of the Equipment is carried out within 4 (four) months from the date of signing of the Contract by both
parties and on condition of appropriate performance by the Customer of the obligations for payment.
The warranty period for the Equipment is 12 months after Equipment delivery. The warranty period for Works is
12 months after commissioning.
Should LLC Siemens through their own fault fail to supply the equipment in due time and such delay lasts over
one week the Buyer is entitled to demand payment of liquidated damages from LLC Siemens, equal to 0.1% of
the cost of the Equipment which has not been delivered in due time for each week of the delay however the
total value of that is not to exceed 10% of the Equipment which has not been delivered in due time. Any other
liability of LLC Siemens for the undue delivery of the Equipment including that as indemnity for losses is to be
excluded.
LLC Siemens are liable for failure and (or) improper performance of their obligations exclusively through their
own fault. Total maximum amount of LLC Siemens liability hereunder on the whole including that paid as
liquidated damages and (or) any indemnifications for a breach of obligations and any other wrongful acts
notwithstanding any reasons for the liability, is not to exceed 10% of the price quoted.
LLC Siemens by no means shall be liable nor shall they indemnify any damages as lost profit, loss of production
due to downtime, disruption of production, operation and etc.), damages due to loss of data and information and
other similar indirect damages.

LLC Siemens shall not be obligated to fulfill this agreement if such fulfillment is affected by any impediments
arising out of national or international foreign trade or customs requirements or any embargoes or other
sanctions, including, but not limited to, embargoes or other sanctions imposed by the United Nations, the
European Union or the United States of America which, upon sole discretion of LLC Siemens, may expose LLC
Siemens or any of its Affiliates to sanctions, penalties or other actions of governmental authorities detrimental
to LLC Siemens or any of its Affiliates.

An Affiliate of LLC Siemens shall mean Siemens AG (Germany) and any corporation, company or entity, directly
or indirectly, owned or controlled by Siemens AG.

Please note that the Proposal is for reference only rather than being a quotation in terms of Article 435 of the
Civil Code of Russian Federation. Delivery of the equipment and execution of Works by LLC Siemens can be
performed exclusively upon the contract between LLC Siemens and your company made in writing (as a
separate document).

The information contained with this Proposal including the annexes, shall be deemed confidential.

All annexes specified herein shall be an integral part of the Proposal.

This Proposal is valid until 31.03.2022 upon condition that the entire scope of the Equipment proposed will be
purchased.

Scope and specification of works

To update the system, it is necessary to replace the existing hardware equipment and licenses of the
visualization system. It is proposed to replace the existing client / server system with virtualized servers.
It is proposed to use Simatic Virtualization as a Service (SiVaaS) as a virtualization system, consisting of two
servers (hosts).
1 Host includes:
• 1 OS Server
• 2 OS Clients
• 1 Engineering client
2 Host includes:
• 1 OS Server
• 3 OS Client
Cybersecurity works are not included in the price, but can be offered after clarification of technical details
KVM replacement is not included in the scope of delivery.

Description Comments
1. Office work 8 weeks
1.1. Engineering of the application software (SW) of the SIMATIC S7-4xx
controllers according to the migration instructions developed by Siemens
AG:
• Update PCS7 project to v9.1
• Checking and restoring the integrity of links and locks after updating
1.2. Engineering of the GUI software for the Operator stations according to the
migration instructions developed by Siemens AG:
• Replacement typical if necessary
• Change screen resolution
1.3. Server preparation

• Incorporation of new equipment into the factory network
• Transfer of licenses

The Offer does not include works:

• replacement of the CEMAT library type,
• removal of "artifact" blocks, if they do not interfere with the update of the project,

• changing the hierarchy of SCADA screens,
• development and replacement of object encoding.

These works are available upon request.

Russification is carried out within the currently existing Russification of the project.
