APPOINTMENT LETTER

Dear Mr. Pramod Kumar,

We are pleased to offer you the position of “Junior Engineer” with Bydint IT Solutions
Private Limited. Your base location will be Hyderabad. Details of terms of
employment mentioned below

1. Joining Date, Reporting and Probation

Your joining date will be on or before 05 April, 2020. Your employment with the
Employer will continue until terminated in accordance with Section 11 or Section 12
below. You will be reporting to the Bydint IT Solutions Private Limited, Level 1,
Spacion Towers, Vittal Rao Nagar, Next to Westin Hotel, Hitech City, Hyderabad,
Telangana-500081, or their designee. Your reporting is liable to change at the sole
discretion of the Employer

Your initial place of posting is at the Hyderabad office. However, at the sole discretion
of the Employer, you will be liable to be transferred/deputed from the office of the
Employer to anywhere in India or abroad including at any customer locations and/or
Group Company locations and/or from one department to another or from one
establishment to another. For the purposes of this Agreement, the term “Group
Company”or its plural, shall mean, the companies in which the Employer holds more
than 25% of the paid-up share capital of such companies, any holding company of the
Employer, any associated company of the Employer or its holding company or any
subsidiary of any of them, and any subsidiary of the Employer or its holding entity or
any associated entity of any of them.

Your appointment is subject to any background checks, if any, to be conducted by the


Employer. If the results of your background check reveal information that is inconsistent
with the standard, this offer may be rescinded or your employment with the Employer
may be subject to immediate termination

The first six (6) months of your employment with the Employer will be a probationary
period and subject to such extensions as the Employer deems fit. Upon successful
completion of the probationary period, you will be appointed as a full-time employee
of the Employer. Your period of probation will be considered for calculation of any
benefits that you will be entitled to on becoming a full time employee of the Employer.

2. Duties

You will perform all acts, duties and obligations and comply with such orders of the
Employer or your superiors as are reasonably consistent with your job title. The
Employer may require you to undertake the duties of another position, either in
addition to or instead of the above duties, it being understood that you will not be
required to perform duties which are not reasonably within your capabilities.

3. Remuneration, Expenses and Deductions

Your annual salary will be INR 3,00,000/- Per Annum, On a cost-to-company basis.
Your salary structure is provided in Annexure A

Salaries and allowances will be subject to income tax deduction at source (TDS) as per
The prevailing taxation laws and will be credited to your bank account on or before 5th
of each month. Any increase in your salary will be subject to your performance and the
Employer’s discretion.

You will be paid or reimbursed for any reasonable expenses properly incurred by you
while performing your duties on behalf of the Employer, subject to your producing
appropriate receipts in respect of such expenses when requested by the Employer. You
will be required to undertake travel on Employer’s work and you will be paid travel
expenses for such travel subject to your producing appropriate receipts.

You will be responsible for filing and managing all your tax returns, including all related
liabilities.

4. Hours of Work

Your normal working hours will be from 9 a.m. to 6 p.m, Monday to Friday. However,
the Employer reserves the right to change your start and finish times and the days upon
which you work

5. Annual Leave with Wages

You are entitled to 19 days’ annual leave with wages on completion of a full calendar
year.The annual leave will be inclusive of any weekly holidays occurring during the
period of leave. You must obtain the prior approval of before booking holiday dates.

6. Sickness

You are eligible for twelve (12) of sick leave in a year days of sick leave. You must
inform the Employer by no later than 9 a.m on the day you commence your sick leave.
If you are absent for two (2) working days or more, you must provide a medical
certificate from a registered medical practitioner.

7. Equal Opportunity Employment

The Employer does not permit discrimination or harassment on the ground of sex,
pregnancy, marital or family status or disability.

8. Exclusivity of Service

You are required to devote your full time, attention and abilities to your job duties
during working hours and to act in the best interests of the Employer and her
enterprises at all times during the course of your employment with the Employer.

You must not carry on, without the prior express written permission of the Employer
any lecturing or any business activities or render any services of a business,
commercial, or professional nature, directly or indirectly, whether or not for
compensation, for the benefit of anyone other than the Employer.

During the employment, you shall not undertake any activity which creates, or could
create, an actual or perceived conflict of interest with your employment, or which in
any way compromises your duty of loyalty to the Employer.

9. Confidential Information and Inventions Assignment

You acknowledge that as an employee of the Employer, you will have access to the
Employer’s confidential information (as such term is defined and understood in the

Assignment Agreement at Annex) and you may, during the course of your employment,
develop certain information or inventions, which will become the property of the
Employer, or that of its customers or partners Accordingly, you agree to sign and be
bound by the separate Employee Non-disclosure of Proprietary Information and
Inventions Assignment Agreement (“Employee Proprietary Information and
Inventions Assignment Agreement”) set out in Annex as well as a deed of assignment
as and when necessary.

10. Retirement

Your employment with the Employer will be terminated automatically on you attaining
the age of 58 unless otherwise expressly extended by the Employer.

11. Termination of Employment

During your probationary period, your employment may be terminated by the


Employer by giving one (1) month’s notice or payment of salary in lieu thereof. Upon
completion of your probationary period or if no probationary period applies, either the
Employer or you may terminate your employment for convenience, on not less than
Thirty (30) days written notice. The minimum notice of two months cannot be adjusted
with payment in lieu of notice period or adjusted against your Earned Leave balance. or
payment of salary in lieu thereof. For this purpose, salary shall mean Cost to Company
(CTC). These provisions are subject to Sections 12 below. However, in case any
disciplinary proceedings are either contemplated or pending against you, the Employer
reserves the right not to accept your resignation.

Upon termination, whether for cause or without cause, you shall immediately return
to the Employer all Confidential Information equipment, correspondence, records,
specifications, software, disks, models, notes, reports and other documents and any
copies thereof and any other property belonging to the Employer or Group Companies
(including but not limited to the Employer’s car, keys, credit cards, equipment and
passes) which are in your possession or under your control and sign such assignment
agreements as the Employer deems necessary, to assign all your rights in any
Inventions. You must, if so required by the Employer, confirm in writing that you have
complied with your obligations under this Section 12

12. Non Compete and Non solicitation

During your employment and for a period of twelve (12) months after the termination
of employment (the “Restricted Period”), you shall not:

solicit any customer of the Employer with whom you had contact in the twelve (12)
months leading up to the date of cessation of your services with the Employer, to offer
any services, similar to the services offered by the Employer.

“Affiliate” for the purpose of this Section 13 shall mean, with refer organization, any
person controlling, controlled by or under common control with any organization.

You hereby agree that the scope of the obligations contained in Section 13 above for
the duration of the Restricted Period are reasonable and are not unduly harsh or
oppressive. However, should a court of competent jurisdiction ever find any of the
provisions of Section 13 above to be invalid or unenforceable, you hereby agree that
the other provisions of Section 13 shall remain fully valid and in full force, to the extent
legally possible.

13. Representations and Warranties

You represent and warrant to the Employer that you are not bound by any restrictive
covenants, including but not limited to non-competition, non-disclosure and non-
solicitation covenants binding you under any previous employment agreements and/or
contracts. You agree to indemnify and hold harmless the Employer for any liability that
the Employer may incur as a result of the existence of any such covenants, obligations
or commitments. You further warrant that (a) you are free to enter into employment
with the Employer without violation of any third party rights including any former
employer;

You are not a party to any arrangement or agreement which will compromise your
ability to carry out your duties for the Employer; and (c) all information provided by
you to the Employer, including information set forth in your résumé, information
provided during the interview process, and information in any employment application,
is truthful and accurate.

14. Personal Data

As part of and in consideration of your employment you may be required to share


personal data from time to time to enable the Employer to consider your application for
employment, make an offer of employment, onboard you and process or payout your
salary and benefits. Accordingly, by signing this appointment letter you agree to the
Employer collecting, storing, processing and transferring (including to Group Companies
or third parties) your personal data. Personal data for the purpose of this agreement
means data such as age, date of birth, Aadhaar card details, marital status, details of
family, contact information, medical history, health information, bank account details or
any other information that is capable, either on its own or in conjucture with other
information, of identifying you.

15. Miscellaneous

This letter is governed by and construed in accordance with laws of India, and you and
the Employer submit to the exclusive jurisdiction of the courts at Hyderabad. Any notices
required or permitted hereunder will need to be given to the appropriate party at the
address specified above or at such other address as the party specifies in writing, or by
facsimile. Such notice will be deemed given upon personal delivery to the appropriate
address or if sent by certified or registered mail, three (3) days after the date of mailing.
Such notice will be deemed given upon generation of a facsimile transmission
confirmation receipt, if sent by facsimile

Please sign the duplicate copy of this letter in token of your acceptance of the above
terms. I agree with the terms and conditions of my employment with the Employer as
set out or referred to above.
