This Engineering, Procurement and Construction Contract (hereinafter called the "Contract") is
entered into on August 22, 2024 by and between
M/s Ankit Solar Power, a company registered under the Companies Act, 2013, having its
Registered Office at H.No. HIG II 59, Deen Dayal Puram Colony Balaghat 481001 Madhya
Pradesh INDIA referred to as “Contractor”, on the One Part, and
Mr. Samrat Singh Saraswar Son of Mr. Ashok Singh Saraswar, Address- Akola-kirnapur,
Balaghat India, hereinafter referred to as “Owner or Developer”, on the Other Part;
both hereinafter collectively referred to as the "Parties" and individually as a "Party" have
concluded the present Contract upon the following.
WHEREAS:
The Contractor and the Owner have decided to enter into this Contract for the supply and
installation of Grid-Connected Ground Mounted Solar Power Project ("Project"). The capacity of
the Plant will be up to 200 kWp which will be finalized after the final design and necessary
regulatory approvals & may get scaled up/down.

Operation and Maintenance of the power plant: Rs.100,000 per annum with 3% annual escalation
every year.
ANNEXURE – II
Term Contract
Consultancy Fee ● INR 5,00,000/- advance plus service taxes @18% on signing
of contract to prepare DPR & CMA report
Payment Terms a. Supply & Services Order value:
● 20% Advance on receiving of LOA
● 80% against pro-rata material delivery from the date of PO
with following conditions which will be operated as per below
milestones:
i. 50% of Total Supply & Services Order value before
delivery of PV Modules against material inspection &
PI
ii. 10% of Total Supply & Services Order Value before
delivery of Structure against material inspection & PI
iii. 10% of Total Supply & Services Order Value before
delivery of Inverter against material inspection & PI
iv. 10% of Total Supply & Services Order Value before
delivery of BOS Items.
Purchase Order ● The Developer shall issue a single PO for:
● Supply, Civil and Services.
Taxes ● Price offered above is Exclusive of taxes and Duties. All taxes
and duties shall be extra at actuals and paid by Developer.
● For Option (a.) :
o 12% GST shall be applicable on Supply (70% of
Project Value).
o 18% GST shall be applicable on all Civil and Services
(30% of Project Value).
● Any retrospective changes in taxation rates and laws/ new
taxes and duties will be to the Developer account.
● Safeguard Duty (if Applicable), shall be charged extra.
Price Basis ● Based on Technical Specifications and Scope Matrix
mentioned in this offer.
Warranties ● Modules come with product warranty of 10 years and
performance warranty of 25 years.
● Inverters come with manufacturer warranty of 10 Years.
● DLP for all other equipment shall be one year from the date of
commissioning.
● All equipment supplied by us shall carry original equipment
warranty terms as mentioned in the attachment. Our
Warranties are not valid for any mishandling, abused wear and
tear, sabotage/force majeure conditions.
Offer Validity ● Our offer will remain valid for your acceptance up to 15 days,
and thereafter subject to our confirmation.
Timeline ● The System will be installed within 6 months’ timeframe from
Techno-Commercially clear order and advance.
● Subject to timely payment as per mutually agreed payment terms.
Warranty
The warranty shall remain valid for 12 months from the date of commissioning or 18 months from
the date of last supply, whichever is earlier.
However the Warranty for the List of items given under is to be read as :
6 LV cables 2 years
Note: The above Warranty period is from the date of shipment of the respective Material form the
OEM’s Manufacturing facility.
1) SCOPE
This Work Order shall constitute the contract.
No verbal agreements amending the terms of this Work Order are valid unless the Contractor and
Developer (hereinafter referred to as “Developer”) duly confirm them in writing.
The Scope of Work shall include all ancillary, connected and incidental works whether explicitly
stated or otherwise and shall mean, during the Contract Period and Defect Liability Period:
(a) Execution of all civil works set forth in the Work Order in conformity with the
Specifications and Standards set forth in the Work Order fit for the purpose,
(b) Performance and fulfillment of all other obligations, duties, responsibilities and liabilities of
the Contractor in accordance with the provisions of the Work Order and matters incidental
thereto or necessary for the performance of any or all of the obligations, duties,
responsibilities and liabilities of the Contractor under the Work Order, and
(c) Execution of all works required to remedy the defects or damage, as may be notified by the
Vendee on or before the expiry date of the Defects Notification Period for the Works.
(d) Coordinate with Government (State Nodal Agencies) for the approval of the net meter and
other relevant approvals.
2) DRAWINGS / SPECIFICATION
The works are to be executed as per the Approved Drawings & Specifications mutually agreed
upon between Developer and the Contractor.
Specification for all BOM used for installation such as cables, MMS, etc. should be used only after
getting approval from Developer.
All such documents and drawings shall remain the property of Developer.
5) TIME OF COMPLETION
The entire work (as described in Annexure – I) shall be completed within 6 months from the
effective date. The Vendor shall mobilize labour, machineries and materials immediately to the site
from the effective date of this Work order. Time is the essence of the contract, and must be strictly
adhered to.
If the Contractor fails to satisfactorily complete the civil works or any part thereof in time, as
stipulated under this contract, Developer may at its sole discretion:
(a) Treat the Work Order as cancelled at any time and recover any loss or damage from the
Contractor; and/or
(b) Engage labour/sub-contractor from other sources, to satisfactorily complete the work, on
Contractor’s account, in which case, the Contractor shall be liable to pay Developer, not
only the difference between the price at which such labour/sub-contractors have been
engaged, but also any other loss or damage the Contractor may suffer.
In addition to the above terms, the Contractor agrees to be responsible for any consequence
(including loss of business) arising from late delivery or non-delivery and will indemnify Developer
within 7 days of a demand, of all damages suffered by it. Upon failure of the Vendor to make good
the losses suffered by Developer within 7 days of demand, the Contractor would be liable to pay the
damages at an interest of 12% compounded monthly till its actual realization.
7) INCOME TAX
Developer shall deduct TDS from each of the Service Bills of the Contractor, as per the applicable
Income Tax Rules in this regard. The necessary certificate for deduction of TDS shall be issued to
the Vendor by Developer.
8) STATUTORY OBLIGATIONS
The Vendor shall strictly adhere to all statutory requirements applicable as per the provisions in
contract and as per provisions of rules of Central/ State Government/ Local bodies. All labour
related procedures and obligations shall be completed prior to start of work and shall be strictly
followed during the tenure of contract.
Any reference to a statutory provision shall include such provision as is from time to time modified
or amended or re-enacted or consolidated or substituted so far as such modification or amendment
or re-enactment or consolidation or substitution applies or is capable of applying to any transactions
entered into hereunder.
9) INSPECTION
Penalty for delay in work will be levied @ 0.10% per week subject to a maximum of 02 % of
contract value. Penalty will be applicable after 15 days from the date of Effective date of first
advance payment against PO.

total amount with applicable taxes etc.
12) QUALITY
● Contractor shall execute the work strictly as per the approved field quality plan to be
submitted by Contractor and to be approved by the Developer.
● The work completed by Contractor shall be with sound workmanship, free from all defects
and of high quality standards, as per the relevant latest IS, suitable/applicable to individual
item to the completed satisfaction of Developer.
● DLP period for all equipment’s except module and inverter will be 1 year.
● BIPL will take complete responsibility for the entire BOM supplied for 1 year and should
replace the defective products at its own cost for the period of 1 Year.

15) INSURANCE
● The responsibility to maintain adequate insurance coverage at all time during the period of
Contract shall be the Contractor alone. Contractor failure in this regard shall not relieve you
of any of your contractual responsibility and obligations.
● The insurance covers to be taken by you shall be in joint name of Contractor & Developer.
● Workmen’s Compensation Insurance
Contractor shall be responsible for taking this insurance policy; this policy shall protect
Contractor. Against all claims applicable under the Workmen’s Compensation Act, 1948
(Government of India). This policy shall also cover us against claims for injury, disability,
diseases or death of our or your employee, which for any reason are not covered under the
Workmen’s Compensation Act, 1948.
● Dedicated Project manager and Site Engineer to be appointed and made available
throughout the project.
● List of skilled and unskilled manpower should be submitted.
● No formal time extension shall be given for completion of work.
● You shall not be permitted to sub-contract the Scope of work.
● Conveyance, Accommodation, Food, Construction water shall in your scope.
● Electricity & Staying Arrangement in our Scope.
● You shall have to provide necessary and adequate safety measures including personal
protective equipment and precautions to avoid any accident, which may cause damage to
any equipment/material or injury to workmen. We shall not be responsible for any such
accidents

4.2 Assumptions/Clarifications
a. We have not envisaged any equipment’s type test. However, existing similar rating type test
reports will be submitted.
b. The system design concept and scope of work shall be as per our technical offer (Including
technical annexures) submitted only.
f. Post bid, if there is any change in specifications and Project configuration due to consultant /
OEM recommendations, any additional Commercial implications happens due to same, shall
be borne by the Customer with mutual agreements.
