Dear Sir,
As per the discussion and the information provided by you, we have done the energy audit and techno feasibility
audit at your place and there is sufficient space to install 3 Kw solar rooftop plant. This 3 Kw solar roof top plant
will support close to 100% of your total power consumption. Please go through the entire proposal shared by
us.

Financial Analysis:

A. Investment: The investment in a 3 Kw solar rooftop plant is ₹3,71,000/- including GST. In case
there is a change in the GST taxation, the appropriate GST would be applicable .
B. Other Cost (Net Metering Connection): There will be cost Approx. ₹9,000/- at actual to get the solar net
meter connection. The cost includes replacing existing meter with new solar meter, generation meter,
Elcb, testing in authorized lab, application cost, agreement cost, etc. Load extension work, change of
phase work is at actual cost.
C. Subsidy: You will get subsidy of Rs.78,000 /- Solar subsidy from Government on 3 Kw Rooftop Solar
Plant. Amount of Subsidy is solely Governments Decision, Agency is not responsible for it.
D. Breakeven: As per the average tariff rate of approx. ₹10 per unit& the government subsidy, you will
have a breakeven in 3.4 years for the 7 Kw plant.
E. Saving:
● Financial: You will be saving approximately ₹ 21,70,000/- over a period of 25 years from the 7 Kw
plant, assuming standard inflation in electricity tariff per unit and annual service charges for the plant.
● Energy production: Shall be calculated from historic data of energy bill w/o considering losses.

For extra protection, we provide cable duct or cable
casing or conduits or flexible pipe or spiral windings.

2. Contract: This proposal, once accepted by the customer by way of the execution of the Order
Confirmation Form, shall collectively constitute the “Contract”.
3. Technical Deviations: We shall be at liberty to make changes to the technical description of the plant,
based on detailed engineering, Location and size of arrays/ tables on the roof - Modifications to bill of
materials to comply with site conditions as per applicable standards. All deviations shall be duly notified
to the customer in written format via email or orally via telephone or face to face meetings before
proceeding to incorporate the changes.

4. Access to Site: The customer will provide continuous, unhindered access to, and possession of, all parts
of the site to Rudrani Solar for the purposes of carrying out its obligations as per the terms of the
Contract. In this regard, the customer will ensure the availability of permission to use the lift to carry the
plant and materials to the site/ rooftop. The customer will be responsible to bear all the cost and
consequence as may arise for providing such access, possession and right of way to the site/ rooftop, to
Rudrani Solar.

5. Approvals: Each of the party will be responsible for obtaining and maintaining all permits, licenses and
approvals required for the performance of their respective obligations under or pursuant to the Contract
and applicable laws.

6. Monitoring and Conditioning System:

We provide monitoring service as part of our standard maintenance services contract. This service
provides everyday data records such as every day units generated as well as total generated units on
a monthly and yearly basis. The monitoring system will also help us track the performance of the solar
plant installed along with the losses and possible alerts on potential faults in the system. We provide
the monthly report of the plant performance. It is important for the customer to provide us with a Wi-
Fi/LAN/3G connection to enable remote monitoring of the plant.
7. Warranty:
a. The solar panels will have 25 years of performance warranty and 12 years of limited product
warranty directly from the manufacturer.
b. The inverter will have 7 years of warranty directly from the manufactures.
c. Other equipment’s like ACDB, DCDB will have 1 year of warranty.
d. The warranty is only available on manufacturing default. Damage due to external factors will be
not considered under the warranty.
8. Degradation:
Every year the performance of solar modules degrades and they will deliver 90% efficiency in year 10
and 80% efficiency in year 25.
9. Payment Terms: Customer to make payment in favour of “Rudrani Solar”,in the following manner:
a. 50% advance in the form of Demand Draft payable at par, on the date of signing the order
confirmation form.
b. 40% on material dispatch, in the form of a post-dated cheque payable at par, to be provided on
the date of signing the order confirmation form. Such date of cheque shall be [_21_] days from
the date of the signing of the order confirmation form by the customer.
c. 5% on installation, in the form of a post-dated cheque payable at par, to be provided on the date
of signing the order confirmation form. Such date of cheque shall be [_28_] days from the date
of the signing of the order confirmation form by the customer.
d. 5% on commissioning, in the form of a post-dated cheque payable at par, to be provided on the
date of signing the order confirmation form. Such date of cheque shall be [_42_] days from the
date of the signing of the order confirmation form by the customer.

e. Payment will be done only via Demand Draft/ RTGS/ NEFT/ Cheque in favour of “Rudrani Solar”.
f. In the event, any of the above payment is not realized within 3 days of submitting the Demand
Draft/ post-dated cheque, by Rudrani Solar, with its bank, then, the customer will be responsible
for all the costs, expenses and consequences, including for the payment of interest calculated at
the rate of 2% + SBI MCLR on the delayed payment.
g. Any payment made by the customer in accordance with the terms herein, is not subject to any
refund, against the cancellation of order at any stage under any circumstances, and amounts
paid till such time, shall be appropriated towards the effort, cost and expense incurred till date
of such cancellation.
10. Included Services:
a. Execution: Mounting structure erection – Installation of lightening arrestors and grounding pits
– Module installation – DC wiring – AC wiring – Inverter installation.
b. Liasioning with local DISCOM for permissions, wherever required.
c. Commissioning of the solar power plant.

11. Exclusions: Construction of walk ways and Safety Railings, Zero Export Feature, Geo Technical Surveys,
Cleaning of Panels (outside of scope of Maintenance Services Contract), Supply of
Any Transformer and Associated equipment for stepping up of Evacuation Voltage, Civil Work beyond
Panel Mounting requirements, any specific Testing requirement other than agreed in advance and any
other item not specifically mentioned in the offer are excluded from this offer and their prices are not
included herein. Permissions, if any, from local municipal bodies, if needed will be under the scope of
the customer.

12. Delays and Costs attributable to Government Authorities: If the work to be performed by Rudrani Solar
is affected by any reason, direction, instruction or order of any Government authority or court of
competent jurisdiction resulting in increase in time for performance or cost of performance, then, the
time for performance shall be appropriately increased and/ or the increased costs shall be mutually
agreed between the parties. If such increased costs could not be agreed between the parties within 15
days of reference by Rudrani Solar to the customer for the first time in such regard, then, Rudrani Solar
would be entitled to terminate the Contract. In case of any such termination, the customer would be
responsible to make payment of all the activities performed by Rudrani Solar till such date of
termination, in relation to solar plant.
13. Other Terms:
a. Time Line: A rooftop solar plant will be installed within 4-5 weeks from the date of receipt of
advance payment. The time taken to commission and start the plant is a function of the time
taken by the local DISCOM as they need to set up the net meter and the solar meters and Rudrani
Solar cannot be held responsible for any delay on account of the local DISCOM.
b. The terms of the Contract are confidential and strictly for personal use of recipient and
confidential in nature. Sharing with any third party without prior written consent shall be breach
of this Contract.
c. Electricity and Water: The customer will need to provide uninterrupted power supply and
sufficient quantity of treated water for carrying out the construction works at site.

d. Storage of Material: The customer needs to provide storing space with locking facility and the
customer will be responsible for the entire security and safety of the plant and works provided
and performed at the site.
e. The solar radiation shown above is as per the satellite imaging of current climatic conditions and
the solar production shown is as per the current solar radiation reports. This may vary on account
of long term change to the climatic conditions.
f. Security: The customer will be responsible for keeping unauthorised persons off the site/ rooftop
all through-out and taking all appropriate insurance policies as may be required in such regard.
g. Advertising Rights: Upon execution of the Contract, the customer approves that Rudrani Solar
will use the photos of the plant, name of the customer along with the customer billing data for
its internal and external communication purposes. External communication includes facebook
post, print advertising and any other types of advertising stream which will be used to showcase
the customer signing up for green energy and doing his bit for the country’s environment. We
will use the customer’s picture approved by the customer.
h. Suspension: If the customer fails to make payment of any of the payment milestone on the due
date, then, Rudrani Solar would be entitled to suspend any or obligation at such time, at the risk
and costs of the customer.
