This paper presents a brief summary of the waterway mode, with its advantages and challenges in the Brazilian scene. Following is the definition of public-private partnership, its main characteristics, advantages and types of PPPs. It is presented the definition of risk, the steps of risk management and which were used in the case study of the waterway of the river Tocantins. It is described the methodology for identifying the most important risks for a DBFMO type of contract for the waterway mode and its application held in our case study.
