    Memorandum of Understanding

    Parties

    The Red Brick Summit, IIM Ahmedabad [‘TRBS’]


    (to be conducted from September 29, 2018 to October 2, 2018)

    and

    The Fern – An Ecotel Hotel, Ahmedabad

    TERMS AND CONDITIONS


    1. TERM OF CONTRACT
    The term of this contract shall commence on the date of signing and continue till October
    3rd, 2018

    2. RIGHTS AND BENEFITS

    3. IIM A TRBS Deliverables and Conditions

    a. Naming rights for TRBS as official 'Hospitality Partner'.


    b. Logo presence on the main event backdrop.
    c. 2 standees placed at RJM and IMDC (To be provided by Fern)
    d. Brand to be promoted through official Facebook page, TRBS Mobile App and mailers.
    e. Logo presence in TRBS ads in leading business daily and business magazine depending
    on the advertisement space.
    f. TRBS website to prominently promote The Fern Ahmedabad as the ‘Hospitality Partner’.
    g. Promotional video to be shown 5 minutes before the commencement of every major
    event.
    h. 3 participation/pass for each workshop organized during event. (For The Fern
    Ahmedabad - Employees)

    4. Expectations from Fern

    a. The Fern Ahmedabad as Hospitality partners will provide 10 to 20 room-nights between


    28th Sept. 2018 to 03rd Oct. 2018 on below mentioned rates, actual cost to TRBS will be
    on the basis of actual bookings.
    b. Payment: Entire Bill including all extras will be paid by “TRBS 2018 - IIM Ahmedabad”
    within 15 days of submission of bills.

    Inclusions Above rates are inclusive of Buffet Breakfast.
    ·         Check In Check Out time is 12:00 noon. (Early check In & Late check out
    subject to availability).

    ·         Guest list to be provided atleast 2 days prior to the check in date along with
    arrival timing.

    5. COOPERATION
    a. Both TRBS and Fern will endeavour to conduct itself in a manner so as to present a
    professional and high quality promotion and image of IIM Ahmedabad, TRBS and Fern.
    b. TRBS must not bring into disrepute or otherwise damage the name or goodwill of Fern.
    Fern must not bring into disrepute or otherwise damage the name or image of the TRBS
    or of IIM Ahmedabad.

    6. AMENDMENTS
    No amendment or variation of this Agreement is valid or binding on a party unless in
    writing and executed by all parties.

    7. GENERAL

    a. Compliance with Laws


    In performing its obligations under this Agreement, each party will comply with all
    statutes, orders, by-laws, regulations or other laws of any Governmental Agency.

    b. Governing Law and Jurisdiction


    (a) This Agreement is governed by the law of Ahmedabad, India
    (b) Each party submits to the exclusive jurisdiction of the courts of India and the
    courts hearing appeals from them.
