This paper examines the issue of independence of boards of directors and non-executive directors of companies listed on the Irish Stock Exchange. Based on information published in annual reports, the study found that most Irish listed companies were complying with the Combined Code's recommendations for a balanced board structure, albeit with only 60 per cent having majority-independent boards. The study found a lack of consistency in interpreting the definition of “independence”, a lack of disclosure of information and, by applying criteria generally regarded as prerequisite to independence of non-executive directors, certain situations which imposed upon their independence.

This paper will discuss the recent calls to amend Corporations Act in Australia on a basis parallel to those in the Companies Act in the United Kingdom. This will raise two points: first, replacing section 181 of Corporations Act with section 172 is not a proper haven; and secondly, the capability of section 181 in delivering the protection required for stakeholders in the form it is today. It is argued that the present reality is capable  as it is in shielding those interests and no major reform is required and if any not to the Corporations Act itself.

While acknowledging the corporate governance concept of “no one size fits all”, Corporate Governance codes continue to highlight board composition as an important factor. Even corporate law in different jurisdictions recognises the composition of the board of directors and highlights board structure. Despite the increasing interest in Corporate Governance by Nigerian directors and members of governing bodies, a “check-box” or regulatory compliance mindset remains, that can be addressed only through a proper understanding of and commitment to Corporate Governance principles and recommended practices, and their intrinsic purpose and value.

This article highlights the impact of cultural nuances on board composition and the cultural challenges surrounding keyboard functions such as Chair, and Executive Director and how these affect corporate governance practice in Nigeria and Africa and makes a case for a deliberate approach to addressing them if proper Corporate Governance is to be attained and its benefits enjoyed by Nigerian and African companies and their stakeholders.

En la actualidad, el sistema educativo en México afronta ciertas situaciones de cambio y reestructuración que afectan el funcionamiento de todos los niveles educativos. De hecho, algunas investigaciones han identificado diferentes elementos que impiden el desarrollo normal del proceso educativo, como el desempeño del docente en clase, el interés y motivación del alumno, el ambiente donde se desenvuelve la institución, y un aspecto de gran relevancia: el papel del director en su institución. Por eso, el objetivo del estudio fue estimar la relación entre las características del director del plantel como variable de contexto y su relación con el rendimiento de los alumnos. Much can be learned from a comparative analysis of the different corporate governance practices of Canada and the People’s Republic of China, specifically with respect to the duties of directors in overseeing registered corporations. This paper examines the fiduciary duties of directors expressed in statutory instruments in Canada and China. Analyses herein incorporate statutes and corporate law, secondary literature, newspaper commentary, and select jurisprudence, to help elucidate the similarities and differences between the two countries’ regulatory frameworks, from the perspective of corporate governance and responsible business decision-making.

Negli anni la filmografia attoriale di Ida Lupino ha ricevuto una cospicua trattazione, pur venendo solo sporadicamente contemplata nel suo insieme, mentre le fatiche registiche hanno suscitato un interesse crescente negli accademici di settore, innescando discussioni sulla loro autorialità, sulla presenza o l’assenza di una componente anticonformista, sull’appartenenza o meno alla categoria noir. Tuttavia, è assai raro imbattersi in scritti che esaminino il legame tra i due poli principali della carriera lupiniana. Con la presente tesi intendiamo concorrere a colmare questa lacuna, circoscrivendo il nostro studio ai contributi dell’attrice-regista (-sceneggiatrice-produttrice) all’universo filmico che le ha procurato una dimensione artistica riconoscibile, rinforzando la sua immagine divistica: il noir. La nostra ipotesi è che, attraverso la personalità da multi-hyphenate1, Lupino abbia generato un corpus di opere noir ricco di interconnessioni, dotato di una coerenza innegabile, anche se non totalizzante: molti dei personaggi femminili da lei interpretati e dei film da lei diretti condividono una forte cifra sovversiva, oltre a costituire, proprio nella loro congiunzione, un apporto del tutto peculiare al cinema noir.

Resumen. Las familias y las organizaciones educativas determinan en los niños y adolescentes valores, principios, conductas morales y éticas. El proceso de aprendizaje y modelaje se ven impregnados significativamente por la institución familiar y por las organizaciones educativas. En familia se transmiten valores a los hijos para hacerlos capaces, acertados, congruentes entre sus opiniones y acciones, lo que a su vez supone reflexionar sobre los modos de actuar de los padres, responsables, miembros, de las familias. En ese mismo sentido, las personas comprometidas con la dirección escolar deben ser líderes capaces de incidir positivamente sobre otros, impulsar propuestas cónsonas con el desempeño en valores sociales e indudablemente para esto se debe contar con directores capaces de administrar, promover la participación, socialización y contar con el apoyo del personal en la escuela. El propósito de esta disertación es revisar la discusión teórica y axiológica en torno a valores sociales, las familias y el rol de la educación, a través de la revisión bibliográfica, documental y la pespectiva crítica referencial. Se concluye, que los valores sociales pueden ser difundidos en el entramado social si hay un tejido familiar que inculque valores y una efectiva dirección escolar enfocada en este aprendizaje.

Having been in force for nearly thirty years now, the Nigerian Companies and Allied Matters Act 1990 “CAMA” is certainly long overdue for review. However, the many calls for its review have not particularly singled out the director’s duties. Yet, a cursory look at the statement of duties under the CAMA leaves much to be desired. The United Kingdom reviewed its company law and now operates the Companies Act of 2006 “CA”. One of the most admirable aspects of this new law is the codification of the duties of directors, which were hitherto uncodified and based in case law. For the fact that Nigeria is a common law jurisdiction which usually models its laws after English law, it will most likely be the case that any review of the CAMA would have the CA as a foremost reference point. On this note, this research considers, comparatively, whether and to what extent the CA can be a model for the CAMA in the area of the director’s duties of care and skill and fiduciary duties of loyalty and good faith. A doctrinal method of research is employed using the tool of comparison. The research tries to show that the CAMA is far from being a model company law in the area of the duties and therefore, requires urgent review. Although the law improved on the common law at the time of its enactment many years ago, particularly with respect to the standard of care required of the director, it is still not up to standards for today’s business society and its statement of the director’s duties does not adequately reflect the common law principles it was meant to codify. Comparatively, the CA is found to be clearer on several points indicated and reflects the modern practice on the standard of care required of directors. The work recommends that the CAMA be amended substantially using the CA as a model. This would not only reflect developments from case law and practice, help to further clarify and simplify this important aspect of corporate governance for corporate stakeholders, but may also revive corporate litigation which is currently almost non-existent in that area.

RESUMEN
La presente investigación tuvo por objeto componer una relación histórica del Colegio Militar de México, centrándose en su acontecer como institución de enseñanza, a diferencia de otras obras que se centran en lo militar o en aspectos parciales de su labor educativa. La historia del Colegio se aborda en el contexto general del devenir de México como naciente nación. Sin embargo, este trabajo tuvo la intención de relevar los principales personajes que preservaron el establecimiento frente a turbulencias políticas, dificultades económicas, secesiones internas e intervenciones extranjeras. Busca conocer sus directores, sus profesores, su personal y sus alumnos y analizar cómo fue la enseñanza de este colegio durante sus primeros 50 años. Quisimos comprender cuál fue la relación que tuvo con el  Estado mexicano y cómo se implementó su gestión administrativa y pedagógica. Comparamos sus sistemas de enseñanza adoptados y su repercusión en la administración, en el profesorado y en los alumnos. Añadimos a estos factores la crónica falta de financiamiento del establecimiento por parte del Estado, y la bien documentada pobreza general de sus alumnos.  Finalmente, analizamos sus reglamentos, su currículum, sus cursos, sus horarios, sus libros, sus exámenes, sus calificaciones, sus becas, sus premios y sus graduaciones, entre otros factores académicos.

Abordamos esta temática desde la investigación histórica, adoptando un paradigma ecléctico en lo que tiene que ver con corrientes historiográficas, privilegiando un enfoque historicista dada la dinámica caótica de la historia del Colegio en esta etapa, en virtud de la imposibilidad de hallar alguna estructura de algún proceso institucional o social duradero. Por otro lado, metodológicamente, la presente obra es de carácter cualitativo, no experimental, descriptivo,  valiéndonos de la interpretación de fuentes primarias y secundarias

ABSTRACT
This research aims to compose a history of the Military College of Mexico, focusing on its development as a teaching institution, unlike other works that focus on the military or partial aspects of its educational work. The history of the College tackles the overall context of the evolution of Mexico as nascent nation. However, this work was intended to highlight the main characters who preserved the institution facing political turmoil, economic hardship, domestic secessions and foreign interventions. It seeks to know its principals, teachers, staff and students and analyze how was the teaching of this school during its first 50 years. We wanted to understand what was the relationship he had with the Mexican government and how its educational and administrative management was implemented. It compares its education systems adopted and its impact on the administration, teachers and students. We add to these factors the chronic underfunding to the institution by the government, and the well-documented general poverty of the students. Finally, we analyze its regulations, curriculum, subjects, schedules, books, exams, qualifications, scholarships, awards and graduations, among other academic factors.

We approach this issue from historical research, adopting an eclectic paradigm which has to do with historiography, favoring historicist approach. This is due to the chaotic dynamic of College history at this stage, given the impossibility to find any structure of some institutional or social process. Moreover, methodologically, this work is qualitative, not experimental, descriptive, using interpretation of primary and secondary sources.

RESUMEN:
El antecedente de este trabajo, además de toda su obra cinematográfica, es que durante largos años de estudio y de conversaciones con antropólogos Ruiz se internó en el mundo de los cuentos folklóricos. Después de esa experiencia descubrió que en muchas ocasiones el folklore de cada país tiene elementos comunes con el de otros. "Hay mitos vikingos -dice- que son parecidos a los chilenos. Los cuentos folklóricos unen más que separan".

En "La Recta Provincia", nombre con que se autodenominaban los "brujos" de Chiloé, están las claves del cine de Ruiz: una mezcla del presente y del pasado, de los vivos y los muertos, de lo real y su reflejo, de la vigilia y del sueño, de la realidad y los espejos.

Desde el punto de vista narrativo la historia se afirma en las convicciones de siempre del realizador. Tal como lo señala en su libro "Poética del Cine", algunas de ellas provienen de su crítica a la "teoría del conflicto central" elaborada por el cine norteamericano que "es el único país del mundo -afirma Ruiz- en el que el cine haya desarrollado desde temprano una teoría narrativa y dramática global (...) que se ha vuelto palabra de ley."

En el texto evoca el primer enunciado de esa teoría: "una historia tiene lugar cuando alguien quiere algo y otro no quiere que lo obtenga. A partir de ese momento (...) todo los elementos de la historia se ordenan alrededor de ese conflicto central". El precio de esto, agrega, es que ella "nos obliga a eliminar todas aquellas otras (acciones) que no incluyen ninguna confrontación".

Esto sería un "concepto depredador: un sistema de ideas que devoran toda otra idea" acerca de cómo narrar una historia. El punto es que de este modo, tal como sostiene Ruiz, no hay equivalencia entre el conflicto central y la vida de todos los días, que tantas veces tiene que ver con decisiones inconscientes y accidentales de la vida cotidiana.

Me parece que la hegemonía de la teoría del conflicto central, que nos tiene absolutamente domesticados, nos priva de otras posibilidades narrativas muchos más amplias y a menudo más enriquecedoras. La receta narrativa del cine norteamericano a la que alude Ruiz hace que las películas inspiradas en ella sean tan predecibles y, por eso, aburridas.

Volviendo a Ruiz, en "Poética del Cine", refiriéndose a la receta en que se traduce la teoría del conflicto central, señala que "nuestros raptores nos hacen prisioneros de la voluntad del protagonista; y al final de la película somos entregados a nosotros mismos, sólo que más tristes que antes y sin otra idea que la de embarcarnos en otra historia igual."

Pasando a otro tema, les cuento que además de la serie para TV se realizó el largometraje de "La Recta Provincia" que hace poco fue seleccionado por el Festival Internacional de Cine de Roma  para su estreno mundial. Allí también se exhibirá, en un acontecimiento inédito, una retrospectiva de 51 películas de Ruiz. Por si eso fuera poco, se le entregará el mítico premio Maestro del Cine, que antes recibieron Hitchcok, Godard y otros cineastas destacados.

Fiduciary duties are a moral category that derives from equity and are generally described as a requirement to one person, called a fiduciary to act solely in the interests of another.  In the 1997 UK case Bristol and West Building Society v Mothew , Judge Millett L.J achieved one of the most accurate definitions on the matter, stating that a fiduciary is “someone who has undertaken to act for or on behalf of another in a particular matter in circumstances which give rise to a relationship of trust and confidence.”

Leaders will always be leaders. No matter the place where they perform, their personal capabilities to influence, effectively, in work teams and the environment are abilities which are not dependent on the weather or latitude. Nevertheless, there are some determining factors that may provoke modifications and alterations of the leadership style of every person, whether it is consciously or unconsciously. Resistance to change, available resources and hierarchical structures, among others, are concepts which may lead the leader to adopt certain work perspectives that are not typical in his way of leading, but necessary for achieving results. Thus, public sector’s managers will adopt work systems and behaviors different from those used by a private sector or NGO’s director. The following paper aims to analyze and establish some differences between the leadership styles and team management level of these kinds of directors.

Susanne Kennedy is een jonge regisseur die kiest voor repertoire, dat ze brengt in een zeer eigen, doorgecomponeerde stijl. Het eerste deel van de scriptie plaatst haar in de traditie van het Europese regietheater. Het tweede deel bespreekt hoe haar voorstelling De Bittere Tranen van Petra von Kant inspeelt op heersende verwachtingen van vrouwbeelden. Dit wordt verbonden aan verschillende gendertheorieën.

Am 05. April 1933 ließ der Regisseur und Drehbuchautor Hermann Kosterlitz – vom Aufkommen des Nationalsozialismus angetrieben – Berlin hinter sich. Viele Jahre und eine Namensänderung später zog sich Hermann Kosterlitz alias Henry Koster im Jahr 1966 als erfolgreicher Hollywood-Regisseur ins Privatleben zurück. Doch bevor der jüdische Regisseur 1936 den Sprung über den großen Teich wagte, verweilte er rund drei Jahre in Europa. Paris, Budapest, Wien und Amsterdam hießen die Stationen seiner „europäischen Odyssee“. Kosterlitz‘ Weg durch Europa und letztendlich in die USA beruhte nicht auf Zufall, sondern war Ergebnis von gesellschaftlichen Entwicklungen und innereuropäischen Verknüpfungen. Der Begriff des „Unerwünscht-seins“ begleitete ihn – sei es als „jüdischer Regisseur“ in Deutschland, oder als „deutscher Regisseur“ in Frankreich. Oder als „jüdischer Regisseur aus Deutschland“, der Teil eines sogenannten „Unerwünschten Kinos“ in Budapest und Wien war. Ziel der vorliegenden Arbeit ist es, den Weg Hermann Kosterlitz‘ durch Europa sowie seinen filmischen Werdegang nachzuverfolgen und länderübergreifende filmische Prozesse sichtbar zu machen. Stilistische und narrative Entwicklungen entlang der transnationalen Bewegung stehen ebenso im Mittelpunkt wie die Analyse der ästhetischen Spezifik von Kosterlitz‘ Werken und die seinen Filmen gesellschaftspolitisch zukommende Signifikanz. Den vorherrschenden Produktionsbedingungen kommt ebenso große Bedeutung zu, wie der (film)geschichtlichen Aufarbeitung von Kosterlitz‘ Biografie sowie den Werken des Künstlers. Denn „Unerwünscht-Sein“ und „Fremd-sein“ spiegeln sich in Kosterlitz‘ filmischen Oeuvre wider, was zu einem Dialog zwischen den von Kosterlitz künstlerisch erschaffenen Lebensräumen und dessen „realer“ Umgebung führt.
