MEMORANDUM OF UNDERSTANDING FOR PARENT HOSPITAL (MOU)

This Memorandum of Understanding (MOU) is made on ______________ at Rajkot.

BETWEEN

YADUNANDAN EDUCATION TRUST”, having its registered office at 6- Kanak Nagar Society,
Sant Kabir Road, Rajkot-360003 herein after referred to as the “First Party”, which expression
shall, unless the counterpart otherwise admits, include its present office bearers, executors,
successors and assignees of the First Party.

AND

HEALTHCARE GLOBAL ENTERPRISES LTD., (HCG), a Registered Hospital, having its


office at Ayodhya Chowk,HCG Hospitals Road,Nr.Astha Avenue, Off 150 Ft. Ring Road Rajkot
- 360 006 herein after referred to as the “Second Party”,

WHEREAS

1. The First Party, YADUNANDAN EDUCATION TRUST is registered under Indian Trust
Act, and is engaged in the activity of providing Education Services and has Courses like
B.Sc. Nursing, PB. B.Sc., GNM, ANM at Rajkot under the name and style of MURLIDHAR
COLLEGE OF NURSING and the Second Party is engaged in running Multi Speciality
Hospital under name and style of “HEALTHCARE GLOBAL ENTERPRISES LTD.,
(HCG)” here in after referred to as “HEALTHCARE GLOBAL ENTERPRISES LTD.,
(HCG) ” at Rajkot.

2. The First Party and the Second Party has mutually agreed to be the parent hospital and allow
using the clinical; hospital beds facilities of HEALTHCARE GLOBAL ENTERPRISES
LTD., (HCG) for providing Clinical training to their students of the Trust.

3. The First Party has confirmed that it will be the responsibility of First Party to arrange
approval process of all legal authorities including State government as may be required from
time to time as well as recruit Professors, Tutors, Teacher and other Teaching and
Administrative Staff for their own and create all other facilities to provide academic training
of the required curriculum program at their own premises.

4. The Second Party has agreed to allow the students of the First Party to come to the hospital
and get themselves trained using clinical facilities with the help of existing staff of Hospital,
for gaining needed Clinical Training and Experience of B.Sc. Nursing (4 th Year), P.B.B. Sc.
Nursing (2nd Year), GNM (3rd Year).

5. The Parties have thus entered into this Memorandum of Understanding on the terms as
recorded herein after;
NOW THIS MEMORANDUM OF UNDERSTANDING WITNESSETH AS UNDER:

1. The First Party shall be responsible to arrange approval process of all legal authorities
including State government as may be required from time to time; wherein the Second
Party will not be responsible or will not be liable for any de-recognition of the First Party.

2. The First Party is required to keep in force and valid all the Approvals / Licenses as may
be required for running these courses during the terms of this MOU. In case of
cancellation of any such approvals / Licenses this MOU automatically come to end. The
First Party will provide duly certified copies of all such approvals / Licenses in a file from
time to time to the Second Party.

3. The First Party is required to keep the Second Party in writing in advance, i.e., 15 days
before proposed batch wise training schedule, about the schedules, time tables, training
duration and training related activities including clinical examinations etc. The Second
Party will provide training to the Students of the First Party at HEALTHCARE GLOBAL
ENTERPRISES LTD., (HCG), Ayodhya Chowk,HCG Hospitals Road,Nr.Astha Avenue,
Off 150 Ft. Ring Road Rajkot - 360 006

4. The First Party shall be responsible to inform the Second Party in case of any changes in
decisions concerning activities-such as change in the schedules etc. well in advance.

5. The Second party will not be responsible for the payment of any Stipend, Incentives or
Compensation to the Students of the First Party.

6. The Second Party will not be responsible for any accident, hazards or medical indemnity
in any case, if happens to or by the students of First Party.

7. The Second Party reserves its right alter, reject or change the clinical (practical) training
time tables and schedules, to safeguard the interests of the patients, its own training
activities, programs, events etc. or without assignment of any reason whatsoever in any
unforeseeable circumstances.

8. Students of the First party shall be strictly bound to follow rules, regulation and policies
enforced from time to time by the Second Party including the right of entry into the
premises of the Second Party. First Party will submit the Attendance Record / Physical
Record of training at monthly basis to the Second Party.

9. The first party agrees to depute its senior most executives / faculties to be the member of
steering coordination committee in which the second party will appoint its two executives
as a member of steering committee to monitor all activities, plans, its implementation and
any changes required to be monitor from time for the clinical training of the students.
There would be quarterly meeting held for the steering coordination committee till this
agreement is in force. The periodically report of the training to be submitted to the unit
had of the hospital by the committee.
10. The clinical guidance to the students/trainee will be given by the staff of the second party.
Second party has right to monitor their attendance and evaluate their work in the hospital
by their own. In addition to that, first party will also supervise activity of Trainee /
Students from time to time.

11. The students are not allowed to use mobile phone during their clinical hours. Students
must submit their mobile phones to respected departments according to the instruction of
second party. If any student is caught using mobile phones, strict actions can be taken by
first or second party.

12. It is compulsory for the students to wear identity card and apron provided by the first
party, to enter into the premises of the Second Party.

13. The existing staff of the Second Party will support student of the First Party in Clinical
Training and Experience. The Staff of Second Party will cooperate fully to the students in
Clinical Training. The Second Party shall not be responsible to recruit any special staff to
support any Clinical Training to the Students of the First Party.

14. This Memorandum of Understanding (MOU) will remain in force initially for period of
five Years from __________. Either Party may cancel this MOU without assigning any
reasons by giving three months’ notice in writing to the Other Party. Without Prejudice,
The Second Party reserves its right to cancel this Memorandum of Understanding in the
event it is found that the First Party or any of its students have acted contrary to the
obligations contained in this Memorandum of Understanding. The decision of the Second
Party is such cases shall be final.

15. It is agreed between the parties that the First Party will pay Rs.500/- Per Student per
month as cost/expenses for providing clinical training. The First Party will send the
students for Clinical Training for 6 Months in a Year or as per mutual agreed time.

16. The First Party and its students shall not disclose or use any confidential information,
documents and any other hospital policies, which come to tier knowledge during the
course of training, for personal gain or for advantage of any other person. No information
shall be provided to any external agency, formally or informally.

17. The First Party shall indemnify and save Second Party harmless from and against any
documents, claims, actions, causes of action, damages, losses, cost, liabilities or expenses
whatsoever incurred by Second Party as a result of claims arising from any non-fulfilment
of any covenant or conditions of MOU by First Party or injury, loss to patient or any
negligent or wilful act of First Party or its students, officers, servants, agents etc.

18. Any clinical error done by the students is the training, during the course of their training
the First Party should be indemnify to the Second Party and any legal expenses occur for
such would be borne by the First Party alone.
19. The first party bears all the responsibilities for moral, ethical, financial and legal issues
arising out of the training course. It is hereby agreed between the parties of first and
second that in case of any difference of opinion or interpretation of terms or condition of
this agreement or functioning of steering committee or for any financial argument etc. no
party shall reach to the court of law but such dispute shall be settled through arbitrators
where in any arbitrator will be offered by second party.

20. This agreement shall be governed by and construed in accordance with the Laws of India
and jurisdiction of court shall be at Rajkot.

21. No modification, variation, waiver or amendment of any term & condition of this
agreement shall be effective unless and until it shall be reduced to writing and signed by
both the parties.

22. The Signatory of this MOU is having a requisite authority under the constitution of the
respective organization to execute this MOU.

IN WITNESS WHEREOF BOTH THE PARTIES HAVE EXECUTED THIS AGREEMENT
