MEMORANDUM OF AGREEMENT

NORTHWEST SAMAR STATE UNIVERSITY


AND HOST TRAINING ESTABLISHMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is executed and entered into by and between


NORTHWEST SAMAR STATE UNIVERSITY (NwSSU), duly organized and existing under
and by virtue of the laws of the Republic of the Philippines, with business address at Rueda
Street, Calbayog City herein represented by its University President/Vice- Chairman of the
Board of Regents, DR. BENJAMIN L. PECAYO and authorized for the purpose, hereunder
referred to as the HIGHER EDUCATION INSTITUTION (HEI);

And

JLR ELEVATOR & ESCALATOR CORPORATION. duly organized and existing by


virtue of the laws of the Republic of the Philippines, with office address at Park Avenue
Mansions, Park Avenue, Pasay City, Metro Manila herein represented by Human Resource
Officer, JENNIFER D. DEL RIO, MBA, herein referred to as the HOST TRAINING
ESTABLISHMENT (HTE).

WITNESSETH:

WHEREAS, NwSSU, represented by the University President, earnestly requests


valuable assistance from the HTE for the students under the program with permit/recognition
from the Commission on Higher Education (CHED) to undergo Practicum or On-the-Job
Training (OJT);

WHEREAS, the HOST TRAINING ESTABLISHMENT, approved and granted the


above request of HEI in favor of the students as future practitioners of our country;

NOW, THEREFORE, based on the above premises, the PARTIES agree on the
following:

I. Roles and responsibilities of parties involved

The HEI will:

1. Safeguard student intern/s undergoing internship from harassment,


exploitation, deplorable training conditions and such other conditions that contravene or
defeat the purpose of internship;
2. Take appropriate action on any complaint against the student intern/s in
accordance with the HEI’s policies;
3. Conduct initial and regular visit/inspection of the students during the stay
of the student intern/s with the HTE;
4. Monitor and evaluate performance of the student intern jointly with the
HTE based on the prescribed internship plan;
5. Monitor the student interns and attend his/her needs and concerns by
coordinating with HTE, CHED and other concerned government authorities if necessary;
6. Conduct monitoring and evaluation of the HTE to gauge the overall
performance of HTE and provide feedback mechanism;
7. Conduct a post training review and evaluation of the program and the
performance as well as with the partner HTE;
8. Evaluate and assess related prior training experience and provide credits
for internship, when applicable; and

9. Issue a final grade to the student intern upon completion of requirements
within the prescribed period in accordance with the HEI’s regulations on grading system
and performance assessment of the HTE.

The HTE will:

1. Encourages student interns to develop their personality and


professionalism, and to the extent possible, protect them from physical or moral danger;
2. Assign a point/focal person responsible for the implementation of all
phases of the internship;
3. Orient the student intern/s on the standard rules and regulations of their
establishment;
4. Facilitate the processing of the documents of the student interns in
coordination with the HEIs;
5. Provide practical trainings or work experience in accordance with agreed
internship plan and schedules of activities;
6. Provides practical training or work experience in accordance with agreed
internship plan and schedule of activities;
7. May provide necessary incentives to the student interns as accordance
with their policies;
8. Provides supervised applied learning experience for student interns in
accordance with agreed internship plan and schedule of activities;
9. Develops feedback mechanism to the student interns;
10. Develop feedback mechanism to HEI of the overall implementation of the
internship and the student performance;
11. Provide monitoring and evaluation reports or other information on the
student intern’s performance as may be required by the HEI;
12. Notifies and provides at least 30 working days written notice to the HEI of
a student intern’s breach of contract or misconduct in the internship premises prior to
THE’s decision to suspend or terminate the contract; and
13. Issues certificate of completion for the student intern/s not later than two
weeks after the completion of internship.

Under this On-the-Job Training Program, the following terms and conditions are likewise
included:

1. It is expressly understood that there will be no employer-employee


relationship between the HTE and the student intern/s of the HEI;
2. Any intellectual property owned by the parties prior to this agreement
shall continue to be owned by them, the student intern/s cannot use any confidential
information or data from the HTE to create intellectual property without the express
written approval of the HTE;
3. Any intellectual property independently created by the student intern/s
during the period covered by the internship shall be exclusively owned by the student
intern/s. In the instance that the HTE provide financial support for the creation of such
intellectual property, the ownership of the intellectual shall be determined by the
agreement of the parties which shall be embodies in a separate written agreement; and
4. In case the student intern/s jointly creates intellectual property with a
person employed by the HTE, the intellectual property shall belong to the student intern/s
and the HTE jointly in equal shares, unless the parties agree on a different proportion of
ownership.

II. Severance

If any provision of the AGREEMENT or part thereof is rendered void, illegal or


unenforceable by any legislation to which it is subject, it shall be rendered void, illegal or
not enforceable only to that extent and no further.

III. Confidentiality

The AGREEMENT, as well as its terms and conditions herein shall be held in
strict confidence and that no proposition or part hereof may be reproduced or be revealed
to any personnel or entity other that the signatories herein or their authorized
representative.

IV. Reparability

The invalidity or unenforceability of any provision of the AGREEMENT shall not


affect or impair other provisions that are otherwise valid, binding and effective.

V. Governing Law and Arbitration

The AGREEMENT shall be governed by the construed according to the laws of


the Republic of the Philippines

VI. Duration

This AGREEMENT shall take effect immediately upon signing by all parties
concerned and shall hold for the entire duration of the OJT period and automatically
renewable every year for the next five (5) years provided that the HEI and the HTE
reserve their participation in this agreement upon prior written notice.

In WITNESS, HEREOF, both representatives of the parties affix their signatures
