As a positive influence of the UN Guiding Principles on Business and Human Rights and the OECD Guidelines, in the last years many multinational companies have adopted practices and standards of protection of human rights and the environment. However, these practices have proven to be insufficient when looking at the harmful events involving human rights and environmental resources, which seems even more problematic in the current context of sanitary and socioeconomic crisis derived from the covid-19 pandemic. On the other hand, these past few years have also seen the adoption of legal provisions on non-financial communications of large enterprises, some sectorial regulations at the EU level and national laws on human rights and environmental due diligence duties, which could help to overcome the situation described above. This article aims at analysing whether and how, in the current and future legal framework, contractual instruments can contribute to the goal of human rights and environmental protection as regards business activities and how important their role can be in terms of sustainability and corporate social responsibility.

Current times suggest an urgent and concrete intervention in favor of a greater sustainability of economic activities as well as a greater contribution of enterprises, and all actors operating in our society, in terms of corporate social responsibility. In the last decade the UNGPs and OECD Guidelines have played a foundational role in this direction. They have penetrated in the business relationships through the drafting of codes of conduct and clauses in the contracts of the supply chain. Furthermore, they have operated and operate at national level through the National Action Plans and the National Contact Points. These Principles and Guidelines leave in any case ample space to the autonomy of operators. They are currently very important as a model for legislators for the drafting of rules on the protection of human rights and environmental resources in business activities. 
The urgency and need of concrete intervention has been understood by the European Union institutions that has started a process consisting of different and various acts and measures to be taken and implemented. As of today, we are in the middle of this process. In the last years many important national laws were approved in United Kingdom, the Netherlands, France, Germany, and Norway. Operationally, this experience seems to have just started, and all sources of law, mandatory, non-mandatory, soft law rules and pure contractual rules play an irreplaceable and necessary role in achieving some helpful results.

I cookie sono utilizzati in maniera generalizzata dagli operatori che gestiscono siti internet, sia con finalità sia di tipo tecnico e funzionale ma anche con finalità di analisi delle visite che ricevono sui loro siti internet e per finalità di marketing e di profilazione degli utenti. Si riscontra oggi un uso piuttosto aggressivo di questo strumento da parte degli operatori e una diffusa mancanza di rispetto della disciplina normativa data per il trattamento dei dati personali degli utenti. Recentemente si sono avute più importanti decisioni giurisprudenziali e delle autorità garanti dei dati personali in materia, che hanno chiarito alcuni profili fondamentali delle regole normative applicabili all’uso dei cookie. Sono intervenute anche diverse linee guida da parte delle autorità nazionali di protezione dei dati personali e anche ad opera dell’Editorial Data Protection Board (EDPB). Nonostante le une e le altre rappresentino degli importanti punti di riferimento, alcune riflessioni e qualche indice in via di emersione suggeriscono di attendersi per il prossimo futuro possibili evoluzioni.

L’articolo analizza la struttura e la composizione dei contratti di cloud computing e si sofferma in particolare sui profili di interesse per il trattamento e la tutela dei dati personali alla luce del Reg. 2016/679 UE entrato in applicazione il 25 maggio scorso, comportando i servizi di cloud computing il trattamento di una grande mole di dati personali. L’esame di tali profili mette in rilievo elementi chiave dei contratti di cloud computing, come l’utilizzo di standard contrattuali, la relazione con il cliente e il ricorso al subcontracting, il ruolo del titolare (controller) e del responsabile (processor) nel trattamento dei dati e le responsabilità del Cloud Service Provider, le problematiche relative alla legge applicabile ai contratti di cloud, e il trasferimento transfrontaliero dei dati nei servizi di cloud computing. I temi trattati sono di attualità e saranno interessati da futuri sviluppi: assieme alla sperimentazione del nuovo Reg. 2016/679 UE di cui si avrà conto nei prossimi anni, sono attesi l’approvazione definitiva di un Regolamento UE sul trattamento dei dati non personali, la definizione delle conseguenze per la disciplina del trattamento dei dati del processo di uscita della Gran Bretagna dall’Unione europea e l’elaborazione di principi uniformi sul trattamento dei dati personali a livello internazionale. I servizi di cloud computing saranno un riferimento di rilievo per la definizione e la verifica di tali processi in corso.

Aula F6 • h 14:00 Campus unibz Research Project: Contracts, technical standards and certification systems for the effective development of sustainable economic relationships (SUSTCOTECHCERT) Organized by With the kindly Sponsorship of: Building the Legal Framework for Sustainable Economic Activities: Research Project: Contracts, technical standards and certification systems for the effective development of sustainable economic relationships (SUSTCOTECHCERT) The sustainability of the economic activities-in its economic, environmental, and social relevance-is today a goal no longer postponeable. We are currently witnessing the elaboration of rules of law on the protection of human rights and environmental resources from endangering-because non-sustainable-production and commercial practices. Human rights interested are for example those of the workers involved in non-sustainable production, or those of the inhabitants of the world areas affected by non-sustainable productions. Environmental resources are also often in danger due to non-sustainable production systems and non-sustainable use and extraction of raw materials. The elaboration of new rules of law on these phenomena is happening at the International, European and national level, in more than one country. In this context the European Green Deal is probably the most significant process under development. Very important are also set of rules that were given at the International level in the past decades, such as the UN Guiding Principles on Business & Human Rights and the OECD Guidelines for Multinational Enterprises. All the rules mentioned compose a legal framework in which standard clauses, sectorial agreements and certifications, also necessary for the achievement of a sustainable economy and society, are developing.

Il processo di successione di un’impresa familiare alla generazione successiva richiede attenzione e studio della situazione in modo che l’impresa, con tutte le sue utilità e potenzialità, conservi e sviluppi quanto ha acquisito fino a quel momento anche dopo la successione. 
Ogni impresa fa da caso a sé, richiedendo un processo di successione specificamente ritagliato sulle sue specificità; tuttavia, alcuni strumenti giuridici e di management possono venire impiegati con una certa tipicità in ambiti di imprese caratterizzati per la loro grandezza, la loro anzianità di tradizione, la loro presenza, con più sedi, in diversi Paesi. È necessario, ad ogni modo, tenere presente che i confini tracciati non sono mai rigidi, e non possono essere visti come invalicabili, dato che alcuni strumenti e processi potrebbero trovare utile impiego in più diversi ambiti. 
In questo Workshop si intende promuovere un confronto tra gli attori e gli studiosi dei passaggi successori al fine di contribuire a mostrare la successione dell’impresa familiare come un’occasione per rivedere in senso innovativo l’organizzazione e la programmazione delle attività dell’impresa. Prospettiva questa che oggi è quanto mai attuale e può consentire di superare la visione della successione come momento di crisi dell’attività dell’impresa, e che spesso per questo viene procrastinato, con conseguenze negative sull’impresa stessa.

Il Workshop fa parte delle attività del progetto di ricerca interdisciplinare finanziato da Unibz “Handing over the family business to the next generation and the succession law in Europe: present challenges and future perspectives“ che prevede la collaborazione di ricercatori di diritto, management e sociologia nello studio delle situazioni e dei rapporti complessi che caratterizzano la successione delle imprese familiari.
Il presente incontro si concentra sulla mediazione preventiva e sulla mediazione come strumento alternativo (ADR) per la risoluzione dei conflitti relativi alla successione delle impese familiari. La mediazione preventiva si propone di risolvere le tensioni e di evitare gli eventuali conflitti che potrebbero presentarsi nel processo di successione dell’impresa familiare. La mediazione come ADR costituisce un modo alternativo rispetto al ricorso alla giustizia ordinaria per la risoluzione dei conflitti insorti. In materia successoria il ricorso alla mediazione ai configura anzi secondo le previsioni di legge come obbligatorio, e condizione di procedibilità della domanda giudiziale.

Workshop: “Business & Human Rights”
The workshop’s objective is meeting external experts in order to develop ideas in the framework of our Project.
Recently the interest for CSR principles and rules has increased considerably following the international, European and national initiatives in the field. The UN and in particular its Human Rights Council’s “Inter-Governmental Working Group” is drafting a mandatory instrument on the protection of human rights and the environment by the enterprises. The EU approved a directive about the disclosure of non-financial information by certain large enterprises in 2014 (Dir. 2014/95 EU) and this directive is now in force in the Member States (it became effective in our country in January 2017 following the d.lgs. n. 254/2017). Some States have put in force national laws with the objective of controlling the activities of their enterprises that operate abroad in the third world countries and could impact negatively on human rights and environmental resources. Principles and rules of soft law – as the first rules that were elaborated in the field – like the UN Guiding Principles on Business and Human Rights and the OECD Guidelines for Multinational Enterprises are not less important giving their persuasive strength for the economic actors.
Our approach to the area covered by the Project is mainly dedicated to the study of the different type of rules of law and their formation that, together, are the sources of interest for the Corporate Social Responsibility role of the enterprises. Nevertheless, the research requires the understanding and the knowledge of the phenomenon of the Corporate Social Responsibility in its wide meaning and that´s among the primary goals of our workshop.
