During their evolution, legal informatics and digital law have undergone a growing development linked to the constant transformations and continuous experimentation of the technique, so much that the affirmation of the Internet and the global network today shows all the pervasiveness of digital technologies in our actions.
Over time, the EU and italian legal framework on digital technologies has been enriched with numerous measures to encourage the wider dissemination of information technology and innovations.
And, in the coming years, investments and the promotion of technological development, throughout the EU, will be aimed at ensuring competitiveness in the business world, the complete digital transformation of public administrations, the creation of an open, democratic and sustainable society.
Despite significant delays, especially at national level, in social and economic reorganization and digitization, legal informatics and digital law, represent fundamental competences in the field of legal sciences and are destined to take on an increasing incidence in the legal field, given that computers and communication technologies are, in every way, an integral part of our lives.

The development of Italian civil liability rules since the 1865 Civil Code to the present day is clearly marked by the influence of foreign models. This article tries to detect these foreign influences, starting from those of the French Code Napoléon on the 1865 Civil Code, moving on to those of Pandectist legal thinking on the 1942 Civil Code, and ending with the influences of the common law experiences and European legislation on some sectors of Italian tort law. The final results of this research is a much more complicated and nuanced picture than what is expected, as the Italian system has not only been a passive receptacle of ideas developed in other countries, but has also been able, throughout its history, to mould those foreign ideas with original concepts, so creating an original system, largely independent from its sources of inspiration.

This article deals with the history of Italian legal culture between 19th and 20th centuries. The objective is not studying the different aspects of Italian doctrine but to try to understand what "Italian style" (according to John Merryman) has been. In particular, the author uses the category of "eclectic canon" as special key to afford the "vocation" of Italian jurist.

The EU Equality Directives represented a key turning point in the field of anti-discrimination law in Italy. However, the Italian law-maker failed to implement the Directives systematically, and this generated confusion about their interpretation and application. This also affected the participation of collective actors. With the aim of understanding whether EU equality law has facilitated collective actors' access to courts, the paper examines the role that they have played in the anti-discrimination cases brought before the Court of Justice of the EU. In Italy, collective actors participated in a limited number of preliminary references, mostly in the field of discrimination on the grounds of nationality. The work of collective actors, both inside and outside the courtroom, has been crucial in creating a decentralized form of enforcement of EU equality law. Through litigation and campaigns, collective actors contributed to the full implementation of EU anti-discrimination law, filling the gaps left by the Italian law-maker. The paper concludes that, on the one hand, EU law introduced important tools to enhance protections against discrimination in Italy; but, on the other, the unsystematic transposition of EU law created some obstacles to the protection of migrants from discrimination and to collective actors' access to courts.

This paper is a chapter of the final report of ELSA International legal research group on Social Rights, published on July 2015.
In this paper, the Italian labour law is examined to give answer to the following questions:   
1- Please describe how the social and collective bargaining rights are exercised in your MS (Article 5 and 6 ESC);
2- Has the right to collective bargaining and respect of social dialogue been affected by the austerity measures? If so, please specify the legal consequences of the austerity measures on these rights (Article 5 and 6 ESC);
3- Have labour rights (Article 4 ESC) been affected by austerity measures in your country? If so, please specify the legal consequences of the austerity measures on these rights.

The aim of the paper is to outline the regulation of one-sided (or onerous) standard terms in business-to-business contracts according to Italian law, in the light of the specific legislative rules and existent case law. Differently than other European legal systems, Italian law does not provide for a substantive control of unfair standard terms in business-tobusiness contracts. After the implementation of the European Directive no 93/13, the scope of the substantive judicial review covers only unfair terms in business-to-consumer contracts. Italian scholars often discussed the extension of the scope of application of
consumer law to business-to-business contracts, but the legislature never addressed the issue.
The Italian Civil Code of 1942 represented a forerunner in providing rules for the incorporation of standard terms in contracts, that are applicable to every kind of contractual relationship between businesses. At the present stage, such rules do not protect adhering parties in an effective way and give rise to many disputes. In some cases, the need of protection of weaker businesses induced Italian courts to develop judge-made law based on open-ended clauses, such as good faith. In other cases, Italian judges adopted the parameter of the worthiness of protection or the causa doctrine, to affirm the invalidity of harsh contractual terms. Further limitations of contractual freedom are the so-called ‘abuse of economic dependence’ and rules devoted to certain contractual terms, which are often standardized in business-to-business contracts (exclusions or limitations of liability and time constraints for the exercise of a right). After sketching the comparative law background with reference to German and French law, the article offers a comprehensive account of the aforementioned elements. The examination leads the author to affirm that Italian law entails an indirect control of unfair terms in business-to-business contracts. In the final part, its relevance in the international context is evaluated.

Il presente lavoro è una aggiornata trattazione delle tematiche contrattuali – come regolate dal codice civile e dalle leggi che lo integrano – attraverso l’illustrazione delle più rilevanti questioni che la pratica pone all’operatore del diritto. È il fulcro e la sintesi di una attività di ricerca durata sette anni, originata dalla selezione di materiali di varia derivazione, quali articoli di riviste giuridiche, studi monografici, atti di convegni, circolari, trattati, note a sentenza.

L'ambizioso obiettivo che ci si è posti nella realizzazione del manuale è stato quello di realizzare un testo (nei limiti del possibile) facile e di immediata consultazione, privilegiando un’analisi pratica che ben si amalgamasse con l’esposizione organica e maggiormente teorica dei manuali istituzionali, al fine di soddisfare l’esigenza di un sapere organico in un’epoca di vaste e incessanti trasformazioni. Partendo, allora, da una approfondita esposizione istituzionale si è proceduto ad illustrare in modo chiaro ed immediatamente fruibile al lettore, le interpretazioni dottrinarie e giurisprudenziali degli istituti trattati, effettuando, ove possibile, una analisi comparatistica ed analizzando e commentando modelli contrattuali complessi e case histories di sicuro interesse, senza dimenticare l’influenza esercitata su alcuni pattuizioni dalla prassi internazionale e spiccatamente da quella di derivazione anglosassone.

Despite the position of the Joint Divisions of the Italian Court of Cassation, which appears to hold that altruistic surrogacy is prohibited, a different-narrow-interpretation of the Italian ban on surrogacy is still possible. Altruistic surrogacy does not fall within the scope of the ban, according to the reasoning of the Italian constitutional judges in Judgment 9 April 2014 no 162, which declared it unconstitutional to forbid heterologous fertilization. Doubts arise, first, from the broad interpretation of the right to physical and mental health, which the Constitutional Court attributed as a whole to couples and, second, from the inclusion of the right to reproductive freedom as part of the right to self-determination. As a fundamental right, its exercise may be limited only if there is a need to protect rights of the same level, such as to safeguard the dignity and health of the surrogate mother or the well-being of the child.

Il diritto del lavoro italiano è un cantiere in continua evoluzione. La stagione di riforme scaturita dal cd. Jobs Act ha rivoluzionato in profondità il diritto e il mercato del lavoro italiano. I decreti attuativi della riforma hanno riscritto pezzi importanti e storici del nostro ordinamento giuslavoristico: la disciplina dei licenziamenti, il sistema degli ammortizzatori sociali, le politiche attive del lavoro, i contratti flessibili, le mansioni, i controlli a distanza, i congedi parentali, le ispezioni sul lavoro e tante altre materie. Il legislatore ha continuato a modificare le regole, prima approvando le norme sullo smart working, lo statuto del lavoro autonomo, le misura di incentivazione alla produttività e il cd. whistle blowing, e poi introducendo importanti  innovazioni cd. Decreto Dignità, senza dimenticare i continui interventi legislativi e giurisprudenziali che hanno interessato le regole sui licenziamenti, non ultima la sentenza della corte costituzionale n. 194 dell’ 8 Novembre 2018. Questo Manuale di diritto del lavoro illustra in maniera sistematica le tante novità coordinandole con il sistema preesistente e fornendo gli strumenti indispensabili per orientarsi in un diritto del lavoro in continuo movimento ed evoluzioni, con un approccio rigoroso sul piano teorico ma attento alle esigenze della pratica, grazie alla considalita esperienza professionale degli autori.

L’uso dell’Alternative (o Amicable) Dispute Resolution (ADR)  per fornire supporto e sollievo al sistema di giustizia civile è oggetto di dibattito in quasi tutti i paesi sviluppati.
Ovviamente la situazione che ciascuno stato deve fronteggiare è diversa, e sotto svariati punti di vista tracciare un parallelo tra Italia e Giappone potrebbe sembrare una “comparazione tra estremi” metodologicamente poco corretta e semanticamente poco utile. Nonostante quadri di riferimento piuttosto diversi, tuttavia, Italia e Giappone presentano alcune somiglianze di rilievo per quanto riguarda l’evoluzione normativa e gli scopi della legislazione (almeno sino al “capolavoro” di confusione legislativa della mediazione obbligatoria in Italia) e tramite una comparazione per contrasto entrambi gli ordinamenti potrebbero apprendere dati e informazioni utili per migliorare le rispettive legislazioni ovvero per fronteggiare i numerosi problemi applicativi che la promozione dell’ADR pone.


ADR 利用促進政策をめぐる日伊比較分析近年、日本では2004 年法、イタリアでは2010 年法によって、ADR の利用促進がはかられてきた。本稿は、日伊における民事司法の全体構造の違いとの関係に注意を払いながら、両国が採用した民間調停に関する政策とその実態を対比して考察する。日本とイタリアの民間調停促進政策の共通点は、弁護士関与が抑制されていることだった。しかし学説との論争をも踏まえてソフトな政策を選んだ日本では調停参加の任意性が前提で、執行力も弱い。これに対して民事争訟の大半を強制調停に流し込むことによって、国際的にみてもその非効率性が厳しく指摘されている民事司法の諸問題を一挙に軽減しようと目論んだイタリアにおいては、強制調停の執行力は強い。しかしADRの枠組から排除された弁護士界からの批判が強く、裁判を起こす権利を保障した共和国憲法24 条に抵触するという理由で強制調停制度には違憲判決が下された。結局日本では、裁判所内での民事調停と比べて魅力に欠ける民間調停は、低調のまま推移している。これに対してイタリアでは、調停件数が一時的に急増したものの、違憲判決後は急落、弁護士の役割を増大させた2013 年の弥縫的な法改正で効率的紛争処理は犠牲にされた。両国における「失敗」の経験から、ADR の利用促進のためには、単に数字の動きだけに気をとられるのではなく、前提をなす文化的基盤を固める必要があることが明らかになった

La nota esamina una sentenza con la quale il Tribunale di Milano ha riconosciuto alla S.G.R. la legittimazione processuale nelle azioni intentate nei confronti dei propri precedenti amministratori e sindaci per il risarcimento dei danni asseritamente arrecati da costoro ai fondi comuni di investimento affidati alla gestione della medesima società.

Roman Law: An Introduction offers a clear and accessible introduction to Roman law for students of any legal tradition. In the thousand years between the Law of the Twelve Tables and Justinian’s massive Codification, the Romans developed the most sophisticated and comprehensive secular legal system of Antiquity. Roman law remains at the heart of the civil law tradition of Europe and much of the Americas, Asia, and Africa. Roman lawyers created new legal concepts, ideas, rules, and mechanisms that most Western legal systems still apply. The study of Roman law thus facilitates understanding among people of different cultures by inspiring a kind of legal common sense and breadth of knowledge.

This article is mainly focused, even by a comparative point of view, on the latest reforms regarding simplified Italian private company (s.r.l.s. - società a responsabilità limitata semplificata) and minimum legal capital maintenance regime for so called "ordinary" Italian private companies (s.r.l. - società a responsabilità limitata) with minimum legal capital under ten thousand euro.

The analysis begins by taking into consideration mandatory legal rules contained in Italian civil code and the model articles drawn up by Italian Ministry of Justice and leads to extremely adverse conclusive remarks regarding the actual usefulness of such a company model. After the mentioned reforms, it is even more ineffective both on normative and financial profiles. As for the first point, it is caused by a lack of coordination between the reforms and more in general by the absence of a consistent plan of development; for the second, by a substantial equality of cost to be born for the establishment of simplified s.r.l. instead of a normal one, with the additional disadvantage, in the first case, of unalterable (and very badly structured) model articles.

Suggested conclusions are thus directed in the sense of a quick and effective modification of model articles, with a strong reconsideration of the relationship between "ordinary" and simplified s.r.l. and of the advantages and benefits linked to the establishment of a simplified s.r.l.

The reform passed in 2016 has deeply affected the structure of Book III of the Code Napoléon and re-founded the whole law of contract and obligations within the French legal system. The article seeks to give an account of the major changes occurred in basic concepts and terminology and to compare them to other civil law jurisdictions, particularly the Italian one

La consulenza tecnica ha avuto inizialmente una funzione ancillare nell’ambito della procedura di mediazione, ma è via via cresciuta di importanza soprattutto nelle controversie relative a liquidazione di danno causato da incidente stradale o cattiva sanità, dispute bancarie e finanziarie, esecuzione di lavori edili. E, col tempo, si è posto anche il quesito su di un possibile utilizzo della perizia (ottenuta in mediazione) nel successivo eventuale giudizio, per risparmiare tempo e denaro. Fino a giungere alla disposizione di una CTU consulenza tecnica d’ufficio nell’ambito del giudizio, non soddisfacente, ed il rinvio delle parti in mediazione delegata, con l’indicazione da parte del giudice di “paletti” entro cui gestire quest’ ultima, ricorrendo eventualmente ad una CTM, consulenza tecnica in mediazione. Una “conversione ad U” fino a pochi anni prima inimmaginabile.
Il tutto, tenendo conto che una delle caratteristiche cardine della mediazione è la riservatezza e che una perizia, ottenuta al di fuori del processo, non può essere considerata prova in senso tecnico.

Il presente saggio intende mettere a fuoco il fenomeno del
cloud computing, tentando di setacciare i frammenti normativi dispersi in un fiume di norme difficilmente componibili a sistema, al fine di ricostruire il quadro giuridico vigente in materia. La certezza e la conoscibilità del diritto sono esigenze che si fanno viepiù pressanti in un terreno, come quello in esame, ancora tutto da dissodare e l’ignoranza del quale può a ragione far temere, con la prozia Léonie nella Recherche, che « la journée ne se passera pas sans pluie ». Ed è alla luce dell’attuale incertezza che si spiega il singolare fenomeno per cui, secondo una ricerca del 2014, gran parte delle imprese italiane ha familiarità con la nuvola informatica, laddove solo una sparuta minoranza ha già iscritto in bilancio una posta per la transizione verso il nuovo paradigma. Non ci si limiterà a porre nel buratto il diritto positivo tradizionalmente inteso (sovrastatale, nazionale e regionale), ma, altresì, strumenti di soft law interni ed europei, nonché i contributi di autorità amministrative indipendenti e le riflessioni della più attenta
dottrina anche extra-giuridica. Ciò nella convinzione che l’interdisciplinarità in questo campo non sia una scelta rimessa alla discrezionalità del singolo, ma un imperativo epistemologico. Chiudendo quante alle premesse metodologiche, si precisa che, dopo aver descritto il funzionamento della nuvola informatica e aver dato conto di alcuni documenti normativi a carattere generale, si procederà a una ricostruzione di tipo tematico, in modo tale da fornire, tanto al teorico, quanto al pratico, un agile strumento di lavoro, che allevî dalla faticosa lettura della congerie di atti riguardanti il cloud, potendosi concentrare anche solo sugli aspetti di contingente interesse.

There is a widely shared perception that corruption in Italy is a pervasive and systemic phenomenon which affects society as a whole: corruption contributes to undermining confidence in public institutions, distorts competition in the economic sphere (in particular, with regard to public contracts), causes an enormous increase in average costs (and delays) for the provision of infrastructure, favours the poor quality of public works, and constitutes an untenable economic weight for a country that has been in economic crisis for more than five years. In response to this problem, since 2012, Italy has launched a policy to combat corruption, centered not on a purely repressive approach, but on a perspective of prevention, and containment of the risk of corruption. The following article provides an overview of recent reforms and their different approaches and measures to prevent corruption in Italy, beginning with administrative anti-corruption policies, the tasks of the National Anti-Corruption Authority and anti-corruption prevention plans, ongoing with measures for risk-avoidance and codes of conduct until approaches to combat corruption by transparency and the Italian "freedom of information act". There are many unresolved issues and uncertainties in the Italian anti-corruption policies: even within these limitations, and considering the "work in progress", the "administrative" fight against corruption remains one of the most important innovations in the Italian administrative system in the decade.

There is no clear theoretical foundation for the crime of insider trading if the liberalist of neo liberalist view of the market it is accepted. Nevertheless, almost all advanced market countries have laws against insider trading to protect investors. The article focusses on a comparative analysis between the regulation of insider trading in Australia and Italy and consequently the EU, to find that despite the different system of common law and civil law, the provisions are hermeneutically similar, which in turn raise the same set of interpretative issues. The issue, beside the low level of detection of the crime of insider trading, seems to be the repression stage.

The essay analyzes the recent transformations of urban policies, in a perspective that integrates European policies, in particular with regard to the urban agenda, the recent developments in the practices of “smart cities”, the institutional changes that have affected the system of local administrations in Italy. In particular, the article focuses on the relationship between the new idea of urban intelligence and the new
“governance” of the city, understood as the limited capacity of the municipalities to be “lonely protagonists” in a new scenario that requires extensive involvement of the several levels of government and of different social actors. The essay is also devoted to the analysis of the European policies regarding the Urban Agenda and their implications
for the national, regional and local levels: the development of integrated approaches to the urban phenomenon allows us to reflect on the overall character of these policies, their potential and their main issues. The analysis indicates that the urban system is undergoing significant transformations and that the metropolitan cities are facing increasingly difficult challenges, in a competitive and differentiated scenario.
